Job Summary Ropes & Gray, a leading global law firm, is seeking a highly skilled and self-driven Private Equity Associate to join our dynamic team. As a Private Equity Associate, you can expect to play a crucial role in providing legal counsel and support to our clients engaged in private equity transactions. We are seeking a mid-level associate (4 -6 years) with a large degree of experience representing private equity sponsors in connection with acquisitions, dispositions, and financings. This position will be in our San Francisco office. Duties/Responsibilities Associates in this position, will be expected to: Draft, review, and negotiate transactional documents, including purchase agreements, shareholder agreements, and financing documents; Conduct thorough due diligence and research on potential investment opportunities; Advise clients on regulatory compliance issues related to private equity transactions; Assist in the structuring and formation of private equity funds; Provide guidance on transactions, corporate governance matters, and securities regulations; Collaborate with cross-functional teams to ensure the seamless execution of transactions; Lead varies parts of transactions independently; Supervise and professionally develop junior colleagues on the team; and Stay updated on industry trends, legal developments, and best practices in private equity law. Required Skills/Abilities Candidates must have between 4 – 6 years of proven legal experience working on private equity transactions, preferably at a highly regarded law firm, that includes representing private equity and strategic investors. Candidates should also have a strong knowledge of corporate law and securities regulations and excellent drafting, negotiation, and analytical skills. The ability to work effectively to manage priorities in a fast-paced and deadline-driven environment, will also be an important attribute to possess. We require that attorneys applying for this position have a J.D. degree from an accredited law school and be admitted, in good standing, to practice in the state of California. Compensation The anticipated pay range for this position is $310,000 - $390,000, which represents our good faith and reasonable estimate of the starting salary range at the time of posting.
