We are seeking an Associate Attorney with 3 to 6 years of Intellectual Property, Licensing and other Technology Transactions experience to join our Video Games and Interactive Media practice group. In the interactive media space, McNaul represents: o Creators of some of the most popular video games in the world; o Startup studios founded by established industry veterans; o Platforms enabling creators to build content and digital assets in the metaverse; and o Innovators of AI-generated and other new forms of interactive media. We believe our services are unique, insofar as we combine our highly focused “boutique” practice with depth and decades of experience in both traditional game development and publishing deals and venture capital equity financing. We help our clients: o Form new companies, onboard teams, and secure foundational intellectual property; o Review and negotiate platform distribution agreements and intellectual property licensing agreements for other video games, TV/film, and music opportunities; o Review and negotiate development and publishing agreements; o Comply with privacy laws and regulations, including GDPR and CCPA; o Raise equity financing, starting with SAFE, Series Seed, and Series A investment rounds, through late stage preferred stock financings led by leading California venture capital firms; o Implement UGC monetization programs and work with influencers and celebrities; o Review and negotiate merchandising agreements; and o Subcontract ports and other derivatives of core intellectual property. THE OPPORTUNITY This is an ideal role for the right transactional lawyer to transition to front-line interactions with a variety of cutting-edge clients and expand the breadth of their experience into a variety of technology transactions, including intellectual property, licensing, privacy, and other commercial transactions. WHAT YOU’LL DO  Prepare and negotiate complex agreements, including services agreements, intellectual property and technology inbound and outbound licenses, and development and publishing agreements;  Advise clients on compliance with privacy laws and regulations, including GDPR, CCPA, and COPPA;  Review and revise public-facing documents such as terms of services, privacy policies, and EULAs; and  Otherwise have opportunities to assist emerging companies as they organize, finance operations, onboard talent and commercialize their IP. 2 WHAT YOU’LL BRING To be considered, applicants must have strong academic credentials; be licensed to practice law in the state of Washington; have 3-6 years of legal experience; and have relevant legal experience in the areas of intellectual property and contract law. A good familiarity with the video game industry is necessary, and a passion for favored video games is a plus! A successful hire will have a humble, learning attitude; be a team-player; be savvy and solution-oriented; have exceptional verbal and written communication skills; have a high attention to detail and advanced organizational skills; have the ability to work in a fast paced environment, with the ability to perform multiple functions simultaneously in an environment with deadlines; and have a natural ability to break down complex and ambiguous concepts into practical advice. You will also need to be able to work autonomously while having a clear sense of when and how to escalate matters to senior members of the team. It is essential that you be able to work collaboratively and approach and nurture all internal and external interactions with a client-centric mind-set. The Benefits: The annualized base salary range for this position is $155,000 to $185,000; depending on performance, attorneys have the opportunity to receive significant year-end bonuses as well. Actual pay will be adjusted based on the candidate’s education, training, experience, and other job-related factors permitted by law. Full-time employees are eligible for health insurance with an optional health savings account, long term disability, dental insurance, vision insurance, life insurance, health and dependent care cafeteria accounts, 401(k) and profit-sharing retirement contributions, 10 paid holidays each year, flexible paid time-off (with adherence to performance requirements), and an expanded employee assistance and mental health program. Additional voluntary benefits programs include: voluntary accident insurance, voluntary life, and voluntary disability coverage. Optional pre-tax commuter and transit programs are also available. This is a hybrid-friendly position.
