<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> <div> Aledade is seeking a <b>Senior Corporate &amp; Securities Counsel</b> to join its Legal Department. This role is responsible for maintaining compliance with Delaware corporate laws, U.S. and state securities laws, as well as providing legal advice on highly-complex, critical legal matters, including cross-functional coordination, subsidiary maintenance, strategic projects and mergers and acquisitions (M&amp;A) transactions for the Company. </div> <h3 class="jobSectionHeader"><b> Responsibilities:</b></h3> <ul> <li> Manage daily legal issues and projects related to corporate governance and securities law compliance</li> <li> Collaborate with Finance, Human Resources and Compliance teams</li> <li> Provide counsel and guidance on executive compensation and general employee equity issues in collaboration with Human Resources (HR)</li> <li> Support new business, M&amp;A and other strategic transactions, including working with the corporate development function</li> <li> Manage legal aspects of debt and equity offerings</li> <li> Ensure General Counsel and senior management are fully briefed on major issues arising in relevant business areas and major legislative changes in area of expertise</li> <li> Prepare materials for board of directors and committee meetings, including board decks and meeting minutes</li> <li> Seamlessly collaborate with the legal team and cross-functionally collaborate with the company’s senior-level business leaders</li> <li> Help support our growing Legal department</li> </ul> <h3 class="jobSectionHeader"><b> Qualifications: </b></h3> <ul> <li>10+ years corporate and securities experience, including with a top corporate law firm and sophisticated in-house corporate legal teams</li> <li> In-house legal experience preferred, including supervision of outside counsel</li> <li> Experience working with legal policies and procedures and demonstrated ability to identify potential legal issues</li> <li> Experience with applicable governance, securities, disclosure, executive compensation and M&amp;A subject matters, as well as experience working with corporate finance, treasury, ESG and subsidiary management</li> <li> Ability to understand the company’s business objectives and anticipate the nature and magnitude of legal issues that could arise in various settings, with a desire to develop business acumen and become a business partner</li> <li> Resourceful self-starter with a positive attitude and strong work ethic</li> <li> A demonstrated ability to collaborate, as well as to work independently, balancing competing priorities in a distributed environment with a high level of professionalism</li> <li> Well organized, detail oriented and adept in a fast-paced environment</li> <li> Excellent judgment and risk management skills with an ability to balance business needs, regulatory obligations, and reputational risks in a practical way</li> <li> Strong written and verbal communications skills</li> <li> Juris doctorate from accredited law school required</li> <li> Candidate must be currently admitted to the bar in at least one U.S. state</li> </ul> <div> <b> All prospective hires will be required to demonstrate that they have been fully vaccinated, including booster shots, against COVID-19 with a COVID-19 vaccine for which the U.S. Food and Drug Administration has issued a license or an Emergency Use Authorization prior to mutually-agreed upon start date at Aledade, unless they qualify for a medical or religious accommodation to this vaccination requirement.</b> </div> <div></div> <div> <b><i><br> If you are passionate about transforming the healthcare system into one that best serves the needs of patients, doctors, and society, we’d love for you to join us!</i></b> </div> <div></div> <div> <b><br> Who We Are:</b> </div> <div> Aledade is a leader in population health that is using innovative, value based solutions to transform the way physicians interact with their patients.
