The law department provides to its varied client base a broad range of legal expertise, experience, and practical knowledge in all facets of the business. The Legal Department’s focus on partnering with its clients, strong commitment to quality legal representation, and collegial team atmosphere make this an outstanding place to practice sophisticated commercial law. </div> <div> Overall, we seek qualities that display our company’s core values which are Humility, Attitude, Do the Right Thing, Together and Own it. </div> <div> </div> <div> As an Assistant General Counsel, you will lead the negotiation, drafting and review of various contracts and agreements with our vendors and business partners. The Assistant General Counsel will play a pivotal role in advancing our organization’s goals and priorities through negotiating a variety of contracts including SAAS agreements, staffing agreements, marketing agreements, strategic partnership and advertising agreements. This individual will work closely with our internal business teams, including IT, marketing, human resources, operations, development, risk management, and tax, as well as with our external vendors to efficiently move commercial transactions forward while protecting our organization’s interests. The Assistant General Counsel should also have general familiarity with privacy laws and be interested in developing an expertise in them. </div> <div> In addition to drafting and negotiating commercial agreements, the Assistant General Counsel will also proactively develop, implement, review, and revise contract forms, procedures, and processes to improve the contracting and procurement processes for our organization. </div> <div></div> <div> Responsibilities include the following: </div> <ul> <li> <div> Negotiate, draft, and review commercial agreements including SAAS, PAAS, marketing, advertising, service, consulting, construction, staffing, and other agreements resulting in contracts that are clear, legally sound, and in terms favorable to the company. </div></li> <li> <div> Make sure that contracts are appropriately handled during mall divestitures or acquisitions. </div></li> <li> <div> Responsible for identifying, reviewing, and summarizing legal, financial, and business issues in standard and non-standard contracts. </div></li> <li> <div> Ensure accuracy of agreements, amendments, renewals, and extensions; perform contract follow-up activities as required. </div></li> <li> <div> Work with business clients and attorneys to create and revise contract templates. </div></li> <li> <div> Create, maintain, and improve internal policies and processes relating to contract lifecycle management and compliance. </div></li> <li> <div> Work with internal clients and attorneys to set appropriate priorities and deliver results within established timelines on assigned contract issues. </div></li> <li> <div> Retain, direct and manage outside counsel to advise and represent the company. </div></li> <li> <div> Handle special projects and other duties as assigned. </div></li> </ul> <div> Qualifications: </div> <ul> <li> <div> Bachelor’s degree required </div></li> <li> <div> A J.D. from a leading law school, with proven academic success </div></li> <li> <div> A minimum of 5 years of commercial law experience with a law firm and/or corporation </div></li> <li> <div> Proven ability to independently lead the structuring, drafting, negotiation, management, and execution of sophisticated commercial transactions </div></li> <li> <div> Excellent verbal and written communication skills and strong negotiation ability, with an eye toward pragmatic, mutually beneficial outcomes </div></li> <li> <div> Familiarity with privacy laws and how they interface with commercial transactions </div></li> <li> <div> Familiarity with bribery and corruption compliance a plus </div></li> <li> <div> Familiarity with various contracts lifestyle management solutions; previous implementation experience a plus. </div></li> <li> <div> Proven ability to handle stressful situations, a diverse and high-volume workload, and provide client service in a professional manner </div></li> <li> <div> Excellent interpersonal skills, with an ability to interface with colleagues at all levels and to inspire confidence and trust with a variety of clients </div></li> <li> <div> A dedication and commitment to practicing law in a fast-paced, dynamic environment </div></li> </ul> <div></div> <div> #LI-DT1 </div> <div></div> We are proud to create a diverse environment and are proud to be an equal opportunity employer.
