Cheniere is seeking an experienced finance attorney to be a key member of the Finance Legal section of its legal department. The Senior Counsel will work as a core member of the team that provides legal support to the Finance and Treasury organization which is responsible for bank and capital markets financing, insurance, and strategic transactions. The Senior Counsel will provide legal advice in connection with the structuring, negotiation, execution and administration of these transactions and regular operations. The Senior Counsel will be expected to deliver timely and quality legal services with minimal supervision; manage outside legal resources effectively and develop strong relationships in a hard-working, fast-moving, and ever-changing business environment. The Senior Counsel will be forward-thinking and front- facing to internal clients and commercial counterparties and will be involved in a significant amount of “deal flow”. **KNOWLEDGE** The Senior Counsel will have experience in a large, sophisticated law firm, in-house legal department, or government agency with demonstrated experience and understanding of complex project finance, capital markets, trade finance, and/or other secured/unsecured finance transactions. **RESPONSIBILITIES AND ESSENTIAL DUTIES** * Draft, review, negotiate and interpret a variety of finance and other commercial agreements, including, but not limited to offering documents, commitment papers, common terms agreements, credit agreements, security agreements, letters of credit, guarantees, accounts agreements, engagement letters, term sheets, and insurance agreements. * Provide project management leadership ensuring projects are executed timely and consistent with business objectives, while effectively balancing priorities of various internal and external stakeholders. * Coordinate and collaborate across various departments as necessary in connection with projects, including, but not limited to tax, accounting, compliance, finance, real estate, regulatory, EHS, and corporate secretary. * Develop, implement, and maintain training and compliance materials associated with finance transactions. * Coordinate due diligence, compliance, and know-your-customer (KYC) activities associated with finance transactions. * Handle corporate governance and compliance, such as preparing resolutions, bylaws, articles, and other materials for board of directors’ meetings. * Support commercial initiatives and manage outside counsel as appropriate and manage other day-to-day projects as necessary. * Be available outside of normal working hours as needed for business necessity. * The duties and responsibilities described are not a comprehensive list and additional tasks may be assigned to the employee from time to time; or the scope of the job may change as necessitated by business demands. **QUALIFICATIONS (EDUCATION, EXPERIENCE AND SKILLS)** * **_Education_** **:** Bachelor’s and JD degree with strong academic credentials. * **_Experience:_** **Five plus (5+)** years of legal experience of legal experience with a focus on complex structured finance/project finance transactions. Law firm, In-house legal department, or governmental agency will be strongly considered.
