<p>JOB DESCRIPTION<br> Summary </p> <p>Under general supervision of the Chief Legal Officer, Deputy General Counsel (if applicable) and Assistant General Counsel, responsible for drafting, reviewing, and negotiating contracts and other legal agreements, interpreting federal and state regulations and court rulings, managing claims and litigation, including managing outside counsel engaged in such matters and providing counsel and assisting in a variety of other legal matters. Engages with and serves as an advisor to corporate and operational staff daily. Advises and counsels stakeholders on laws and regulations, particularly in the fields of engineering, architectural, planning, consulting, construction, and other services. </p> <p>Essential Duties </p> <ul> <li>Draft, review and negotiate contracts and other legal agreements/documents relating to the engineering, architectural, consulting, and other services provided by the Company to its public and private sector clients. </li> <li>Research and interpret laws, statutes, regulations, decisions, and rulings applicable to Company matters, and counsel Company stakeholders on compliance with the same on contract, project, or other matters. </li> <li>Provide legal guidance and recommendations to Company personnel on internal and external business affairs, transactions and/or policies. </li> <li>Critically evaluate applicable facts/law to advise Company stakeholders on actual or potential legal issues/claims and risk mitigation strategies pertaining to the same. </li> <li>Manage litigation and other legal matters conducted by outside counsel for the Company. </li> <li>Assist in preparation of corporate documents such as shareholder/director consents, meeting minutes and leases. </li> <li>Engage with the Company’s insurance broker/insurers on risk management and insurance matters. </li> <li>Other duties as assigned. </li> </ul> <p>Supervisory Responsibilities </p> <p>This job has no supervisory responsibilities. </p> <p>Experience </p> <p>8 or more years of demonstrated related in-house and/or law firm legal experience. </p> <p>Education </p> <p>Juris Doctorate from accredited law school is required. </p> <p>Qualifications </p> <ul> <li>Member in good standing with bar in any state. </li> <li>Contract drafting and negotiation experience involving professional services (e.g., engineering, architectural, planning, consulting, etc.) and construction related agreements. </li> <li>Well-developed communications skills; ability to clearly and concisely express legal issues and strategies to Company stakeholders. </li> <li>Self-driven and resourceful to achieve goals independently and in groups. </li> <li>Flexibility to adjust and thrive in an environment with changing requirements, schedules, and priorities. </li> <li>Ability to generate ideas, make recommendations and come to consensus. </li> <li>Demonstrated ability to creatively problem solve complex issues. </li> <li>Excellent writing, presentation, and meeting facilitation skills. </li> <li>Proficiency in MS Word, Excel, and PowerPoint. </li> </ul> <p>Compensation </p> <p>The approximate compensation range for this position is $131,176- $216,449. This compensation range is a good faith estimate for the position at the time of posting.
