Develops and implements business-focused strategies to manage risks.</li> <li>Compliance - Assists the development and implementation of policies, procedures, and control mechanisms to promote compliance with applicable laws, rules and regulations.</li> <li>Proactive guidance - Stays abreast of new regulations and emerging legal risks; provides proactive advice and counsel to business units and corporate functions that may be impacted.</li> </ul> <br> <p> </p> <div> <ul> <li>Demonstrates the development of legal expertise and support for legal affairs of business units or enterprise-wide functions.</li> </ul> </div> <ul> <li>Develops understanding of the operational model by which the supported business unit or enterprise-wide function operates</li> <li>Supports clients on a cost-effective basis</li> <li>Manages outside counsel in an efficient and cost-effective manner, as necessary</li> </ul> <br> <p> </p> <div> <ul> <li>Primary Business Partner Engagement</li> </ul> </div> <ul> <li>Engages, communicates with and advises mid-management and operational business level of such clients</li> <li>Develops basic understanding of how legal support affects objectives, risks and returns of business clients</li> </ul> <br> <p> </p> <div> <ul> <li>Mergers and Acquisitions: <ul> <li>Provide legal support to Corporate Development and Strategy team on mergers, acquisitions, dispositions, and other strategic transactions in the United States and abroad</li> <li>Draft, negotiate and review confidentiality agreements, letters of intent, and definitive transaction documents </li> <li>Conduct legal due diligence on transactions</li> <li>Work closely with business and subject matter experts, and outside counsel</li> <li>Assist with signing and closing of transactions and handling post-closing issues</li> </ul><br> </li> </ul> </div> <p></p> <div> <ul> <li>Antitrust and Competition Law: <ul> <li>Develop and maintain knowledge in and understanding of antitrust and competition law through research, study and experience. </li> <li>Provide substantive antitrust and competition law counseling and advice. </li> <li>Assist with designing and implementing antitrust and competition law compliance programs</li> <li>Interact with regulatory authorities on competition related matters</li> </ul><br> </li> </ul> </div> <p></p> <div> <ul> <li>Commercial Contracts:</li> </ul> </div> <ul> <li>Provide legal opinions and legal advice to all levels of corporate and operating management regarding legal issues with operating and/or strategic implications. </li> <li>Responsible for the commercial legal affairs of one or more of the Company's operating divisions and one or more of the Company's corporate functions. </li> <li>Assist in developing and recommending changes in the Company's operations and policies to coincide with federal, state and local laws, rules and regulations. </li> <li>Draft, negotiate and review contracts and other documents with legal implications which are encountered in the course of the Company's business. </li> <li>Manage and direct outside legal counsel, as necessary</li> </ul> <br> <p> </p> <p><b>POSITION REQUIREMENTS</b> </p> <div> <ul> <li>FORMAL EDUCATION: </li> </ul> </div> <p>Required:</p> <ul> <li>Juris Doctor</li> <li>License to practice law required (applicable jurisdiction)</li> </ul> <br> <p> </p> <div> <ul> <li>KNOWLEDGE &amp; EXPERIENCE:</li> </ul> </div> <p>Required:</p> <ul> <li>0-5 years of legal experience</li> </ul> <br> <p> </p> <div> <ul> <li>TECHNICAL/SKILL REQUIREMENTS:</li> </ul> </div> <p>Required:</p> <ul> <li>PC skills; Microsoft Office applications (Word, Excel, PowerPoint); and other applications as required.</li> <li>General working knowledge of legal software</li> </ul> <br> <p></p> <p></p> <p>Sherwin-Williams is proud to be an Equal Employment Opportunity/Affirmative Action employer committed to an inclusive and diverse workplace.
