<div id="jobDescriptionText" class="jobsearch-jobDescriptionText" dir="ltr"><div> <div> Permian Resources (NYSE: PR) is currently seeking a Senior Counsel. As an integral part of the Legal team, the Senior Counsel will be responsible for providing legal support to the business activities of Permian Resources. This position will collaborate with individuals across the Company’s departments and senior management on a variety of matters, including drafting, negotiating and advising on agreements relating to the Company’s upstream and midstream activities. This position will also help manage litigation and public company disclosure matters and will be involved in the Company’s acquisition and disposition activities. </div> <div> The Senior Counsel will support the General Counsel and Deputy General Counsel and will report to the Deputy General Counsel. </div> <div></div> <div> <b>General Responsibilities:</b> </div> <ul> <li>Review, draft, negotiate and provide legal analysis and counsel on agreements associated with the Company’s current and prospective business operations.</li> <li>Assist with review, analysis and documentation of midstream oil and gas matters.</li> <li>Assist in the management and oversight of corporate governance matters and adherence to Company policies and procedures.</li> <li>Assist in the development and implementation of training for Company personnel on legal and related matters.</li> <li>Assist with SEC public company disclosure and compliance matters.</li> <li>Assist in performing corporate secretary function, including preparing various types of materials for Board of Directors meetings.</li> <li>Advise Company representatives, including senior management, on matters such as legal exposure, risk management and new and existing laws.</li> <li>Plan and develop solutions to existing or potential legal problems and disputes and advise management concerning the Company’s legal rights and obligations.</li> <li>Evaluate litigation strategies and manage lawsuits and administrative actions.</li> <li>Coordinate with and oversee outside counsel to ensure proper handling of matters where counsel is retained.</li> <li>Collaborate with Company representatives to provide counsel on the legal, regulatory and business implications of projects related to the Company’s corporate strategy and objectives.</li> </ul> <div> <b>Position Requirements:</b> </div> <ul> <li>Juris Doctor degree from an accredited law school with a record of strong performance in college and law school.</li> <li>Licensed to practice law in the state of Texas, preferred</li> <li>5+ years of experience in a law firm, corporation or relevant regulatory agency (energy industry experience preferred).</li> <li>Exhibits high ethical standards and integrity.</li> <li>Strong interpersonal, communication, research and writing skills.</li> <li>Experience with midstream and marketing contracts preferred.</li> <li>Experience with SEC/public company disclosure and compliance matters preferred.</li> <li>Robust analytical skills and ability to exercise sound business judgment and work independently, but as a member of an integrated legal team.</li> </ul> </div></div>
