<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-1axw7mm eu4oa1w0"><p></p> <div> <p>The Senior Counsel, Corporate Development will work as a team member and independently to advise the Corporate Development and Strategy team on new business development initiatives, project development and execution activities, project management, sustainability initiatives, joint venture formation and management, and other strategic initiatives. In addition, the Senior Counsel will assist in general commercial and corporate matters. The Senior Counsel will also support Cheniere’s Climate and Sustainability team on new and existing initiatives. The Senior Counsel will be expected to deliver timely and quality legal services and strategic advice to clients, manage inside and outside legal resources effectively, and develop strong relationships in a hard-working and fast-moving business environment.<br> </p> <p></p> <p><b>RESPONSIBILITIES AND ESSENTIAL DUTIES </b></p> <ul> <li>Support a variety of project development activities and commercial transactional functions </li> <li>Provide strategic advice on project development activities to the Corporate Development and Strategy team </li> <li>Draft, negotiate and interpret a wide variety of commercial contracts, business development agreements and related agreements </li> <li>Support development and implementation of Cheniere’s joint ventures (including support for operation of its operated JVs) </li> <li>Support Cheniere’s Climate and Sustainability Team on existing and new initiatives </li> <li>Manage other day-to-day legal and business projects as necessary </li>The duties and responsibilities described are not a comprehensive list and additional tasks may be assigned to the employee from time to time; or the scope of the job may change as necessitated by business demands </ul> <p></p> <p><b>KNOWLEDGE AND SKILLS:<br> </b></p> <p></p> <p><b>Knowledge: </b></p> <p>The Senior Counsel will have experience working in a large sophisticated law firm and/or in-house energy practice with significant commercial/corporate transactional experience<br> </p> <p></p> <p><b>Skills: </b></p> <ul> <li>Experience negotiating complex transaction documents with domestic and international counterparties (and their sophisticated legal and finance advisors) </li> <li>Experience supporting portfolio of legal work on large-scale development projects, which may include inter and intrastate pipelines as well as liquefaction and regas facilities (onshore or floating) </li> <li>Experience negotiating, forming and managing joint ventures </li> <li>Knowledge of global LNG business, including international project development </li> <li>Knowledge of developing and managing projects subject to financing arrangements </li> <li>Strong interpersonal skills and the ability to effectively interact with all levels within the organization, including senior management </li> <li>Ability to think critically, solve problems independently and exercise excellent judgment and common sense </li> <li>Exceptional verbal and written communication skills are required </li> <li>Highly organized and detail-oriented </li> <li>Ability to manage a diverse and demanding workload, work independently and as a member of a team </li> <li>Strong business acumen coupled with exceptional analytical skills </li> <li>Ability to effectively work with and manage outside counsel </li> <li>Impeccable ethics </li>Must be willing to travel, as necessary </ul> <p></p> <p><b>EDUCATION AND EXPERIENCE<br> </b></p> <p></p> <p><b>Education, Training and Certifications </b>: </p> <ul> <li>BA/BS degree </li> <li>JD degree </li>License to practice law in Texas or New York </ul> <p></p> <p><b>Experience </b>: </p>At least eight years of experience with a top law firm or sophisticated in-house practice with significant transactional expertise in the energy sector, preferably with experience developing major domestic and international infrastructure projects <br> <ul></ul> <p></p> <p><b>DIRECT REPORTS </b></p> <p>None<br> </p> <p></p> <p><b>FREEDOM TO ACT </b></p> <p>Operates independently within approved guidelines, and with minimum supervision<br> </p> <p></p> <p><b>WORK CONDITIONS </b></p> <ul> <li>Subject to drug and alcohol testing, per applicable federal regulations or as required by Cheniere. </li> <li>Occasionally, work may be performed from home, after normal work hours or on weekends. </li> <li>Job is performed in a typical office environment, but is subject to time pressures and constraints, and is often dependent on input from others </li>Job is performed in a typical office environment, but is subject to time pressures and constraints, and is often dependent on input from others </ul> <p></p> <p><b>ADA JOB REQUIREMENTS </b></p> <p>Reasonable accommodations will be made to ensure that the essential functions of the job can be performed and not hinder the employee's performance due to physical or mental disability.<br> </p> <p></p> <p><b>EQUAL EMPLOYMENT OPPORTUNITY </b></p> <p>Cheniere Energy is an equal opportunity workplace.
