Description
The firm has an opportunity for a full-time Corporate Paralegal to provide comprehensive administrative support to a very busy corporate and real estate practice. Duties include general corporate matters including drafting corporate/LLC/LP formation documents; entity dissolution; entity foreign qualifications and DBAs, and obtaining EINS. The successful candidate will have the ability to: assist with SEC filings, UCC-1 financial statements, UCC Searches and UCC filings; draft Operating Agreements, prepare grant deeds and various other recorded documents; draft Stock Purchase Agreements; review Real Estate Purchase Agreements, draft Due Diligence and Closing Checklists; and non-profit formation. Must have the ability to multi-task in a fast-paced environment with minimal supervision. This position also requires demonstrated proficiency in using Microsoft Office applications including Outlook, Word, and Excel, as well as with time entry. This position requires exceptional attention to detail and organizational skills, critical thinking as well as excellent written and verbal communication skills. A strong work ethic and the ability to work independently as well as a part of a team are required.
