For more information on Dine Brands, visit the Company's website located at <div> www.dinebrands.com </div>. </div> <div></div> <div> The Senior Counsel - Securities will provide legal advice primarily with regard to securities matters and corporate governance. </div> <div></div> <div> Responsibilities: </div> <ul> <li> Review and prepare annual stockholder meeting materials</li> <li> Review and prepare periodic SEC reports, including the Proxy Statement and Forms 10-K, 10-Q and 8-K</li> <li> Assist in developing and maintaining policies and procedures to ensure compliance with Sarbanes-Oxley, NYSE Regulations, SEC Regulations, and other regulations applicable to public companies</li> <li> Review press releases and other disclosure materials</li> <li> Advise on general corporate and securities issues, including issues relating to securities matters, M&amp;A transactions, corporate governance, corporate policies, procedures and programs, and equity compensation plans</li> <li> Assist with corporate governance and the corporate secretary function</li> <li> Assist with securities offerings, including equity and debt offerings</li> <li> Work closely with the Finance group in handling financing transactions</li> <li> Conduct or support due diligence review of corporate files</li> <li> Help the business formulate strategies and make decisions that achieve their goals and objectives while understanding risks and complying with all laws and regulations</li> <li> Keep the General Counsel apprised of the status, and seek input from the General Counsel on major decisions and issues</li> <li> Educate and train employees on good business practices to avoid and/or minimize legal risk to the company</li> </ul> <div></div> <div> Skills &amp; Requirements: </div> <ul> <li> 3+ years legal experience with an emphasis in Securities and Corporate law</li> <li> Significant experience in federal securities laws and practice, including the Securities Act of 1933 and the Securities Exchange Act of 1934</li> <li> Prior experience with a major law firm</li> <li> Bachelor's degree from an accredited university</li> <li> J.D. from top tier ABA accredited law school</li> <li> Excellent business judgment, ability to think strategically and give practical advice</li> <li> Excellent interpersonal skills; must work well in a fast-paced, highly collaborative, team environment</li> <li> Team Player who is able to work independently</li> <li> Strong drafting skills and the ability to contribute using a hands-on approach</li> <li> Detail-oriented</li> <li> Self-motivated with ability to take ownership of projects and practice area</li> <li> Experience in engaging with management to improve and implement processes and procedures</li> <li> Flexibility to work on a wide range of projects and with those at various levels within the organization, including the Board of Directors</li> </ul> <div></div> <div> Equal Employment Opportunity Statement </div> <div> Dine Brands Global strongly supports equal employment opportunity for all applicants regardless of race, color, religion, sex, gender identity, pregnancy, national origin, ancestry, citizenship, age, marital status, veteran status, physical disability, mental disability, medical condition, sexual orientation, genetic information, or any other status protected by federal, state, or local law.
