Seyfarth Shaw LLP is seeking a full time attorney to join the Firms General Counsel office. The position can be located in any of Seyfarths U.S. offices. The ideal candidate will have 8+ years of legal experience. Candidates must have a solid working knowledge of the Rules of Professional Conduct and professional liability issues as well as strong contract review and negotiation skills. This position will provide support for and report to the Firms Deputy General Counsel and work closely with Firm partners and management in reviewing and assisting with the negotiation of all client engagement terms. Using discretion and independent judgment, this position will be responsible for providing analyses of and solutions for new firm client engagements to minimize risk to the Firm and ensure compliance with ethical obligations. The position will also serve as the primary resource for review of contracts with Firm service providers. The Counsel role will be responsible for developing, assessing and assisting with negotiating contract terms and conditions with Firm clients, including primarily engagement letters, outside counsel guidelines, non-disclosure agreements, and business association agreements. Responsibilities will also include reviewing and negotiating contracts with Firm suppliers and third party vendors, and assisting in responding to subpoenas served on the Firm or its attorneys.
