We are seeking a Corporate Attorney who will provide general legal guidance on a broad variety of corporate and compliance matters including regulatory, employment, corporate governance, contracts, and private equity transactions. As a Corporate Attorney, you will be responsible for negotiating and drafting all types of agreements and advising clients on business matters. Well-qualified candidates will have experience as first or second chair on mergers, acquisitions, and private equity and venture capital. The ideal candidate will be intellectually curious with highly developed organizational, communication, and time-management skills, as well as the ability to react quickly to changes as priorities are revised or reshaped in a fast-moving environment. The candidate will need to have a developed book of business which is expected to transfer with the attorney. Conduct legal research and analysis on various corporate issues Provide legal advice and guidance on corporate governance, contracts, compliance, and other legal matters Draft and review legal documents, including contracts, agreements, and policies Represent the firm in negotiations and other legal proceedings Collaborate with internal stakeholders to ensure compliance with applicable laws and regulations Stay updated on changes in laws and regulations that may impact the firm’s operations Assist in the development and implementation of corporate policies and procedures Provide counsel on legislative and regulatory matters Prepare, review, and negotiate a variety of complex agreements. Administration of mergers, acquisitions, divestitures, and similar transactions from the planning stages through integration Actively participate in marketing and business development opportunities, including leadership in legal industry groups and community organizations, and engagement in networking events, speaking engagements, and conferences Proficiency in conducting legal research using Westlaw or Lexis-Nexis Excellent legal drafting skills with attention to detail Ability to effectively communicate complex legal concepts to non-legal stakeholders Experience in negotiating contracts and agreements Transactional experience in a corporate or in-house capacity required Takes an organized and focused approach to work Manages projects with many and diverse stakeholders Demonstrates initiative and resourcefulness Communicates effectively with members throughout the organization as well as external counsel Possesses strong interpersonal skills Clear, concise oral and written communication skills Demonstrates excellent negotiation skills Strong knowledge of corporate law principles, regulations, and best practices Proficient in Microsoft Office and applicable legal research programs Juris Doctor (JD) degree from an accredited law school Admission to the Florida Bar Association Minimum of 5+ years of experience as a Corporate Attorney or in a similar role Jones Foster provides a fulfilling team-oriented working environment with a competitive salary and outstanding benefits.
