O’Melveny is seeking a Counsel-level attorney for its New York City office to lead and supervise the legal representation of clients in a range of complex corporate matters, focusing on Asset Management, Project Finance & Development and Corporate practice areas. Will assume significant responsibility for leadership of deal teams working on complex private fund formations, joint venture and project finance. The salary range in NYC for this role is $390,000 - $435,000 and represents the firm’s good faith minimum and maximum range for this role at the time of posting. We will not be working with outside recruiters for this position. Juris Doctorate (JD) from an ABA accredited law school and four years of experience as counsel, associate, attorney, law clerk or equivalent in corporate practice with a multinational law firm. Must be licensed to practice law in New York. Qualifying experience must include at least two years as a licensed attorney advising clients on the U.S. legal, regulatory and policy requirements for private equity funds, the Securities Act, the Investment Advisors Act, the Investment Company Act, and corporate governance matters; negotiating fund documents, including limited partnership agreements and side letters for both investor and sponsor clients; private fund review and due diligence for international institutional investors; drafting legal memorandum and due diligence reports for clients in relation to potential investments valued at $10+ million; and drafting legal agreements related to asset management and venture capital fund formation, including private placement memoranda, subscription agreements, compliance procedures. Requires excellent oral and written English communication skills. Regular office presence required, with flexibility to work remotely from home (within area of employment) on an as-needed basis, subject to business needs and manager approval. Based on client needs, incidental domestic and/or international travel of up to 10% may be required – e.g., for client meetings, business development, firm activities.
