<div id="jobDescriptionText" class="jobsearch-jobDescriptionText" dir="ltr"><p></p> <div> <p>The Senior Counsel, Corporate will be responsible for supporting a broad range of Corporate legal matters, including financing and currency matters, know your customer/anti-money laundering compliance, global legal entity management, and corporate governance matters.</p> <p></p> <p> This role is based in McLean, VA.</p> <p></p> <p><b> What are we looking for?</b></p> <ul> <li><p> J.D. from an accredited law school with 5+ years of general corporate legal experience required, ideally with experience in a well-respected law firm. Preference for experience with supporting a private company and/or a consumer business.</p></li> <li><p> Expertise in corporate financing, legal entity management, and/or tax is a strong plus.</p></li> <li><p> Must be a self-starter, highly motivated with a bias for action (strong work ethic) and able to function independently.</p></li> <li><p> Strong, flexible team player and collaborator that works to meet both personal and organization goals.</p></li> <li><p> Excellent written and oral communication and interpersonal skills.</p></li> <li><p> Excellent organization, execution, and project management skills.</p></li> </ul> <p></p> <p><b> What will be your key responsibilities?</b></p> <ul> <li><p> Legal support for Mars <b>corporate financing matters</b>, including third party debt issuances, debt covenant compliance, and intercompany loan matters</p></li> <li><p> Legal support for <b>global currency matters</b>, including advice on compliance with applicable law governing swaps and derivatives transactions and ISDAs and similar agreements</p></li> <li><p> Managing required disclosures of Mars beneficial ownership information for <b>compliance with know your customer/anti-money laundering (KYC/AML) regulations</b> globally</p></li> <li><p> Managing maintenance of the Mars global legal entity <b>organizational chart and database</b> and Finance Manual processes for approval and implementation of legal entity changes for Mars's 1,000+ legal entities, including management of related service providers and software platforms</p></li> <li><p> Identifying and leading implementation of legal entity management and other process improvements to increase efficiency and effectiveness and ensure compliance with company and external rules</p></li> <li><p> Managing day-to-day corporate law matters for Mars, Incorporated and US-based holding companies</p></li> <li><p> Providing legal support for corporate special projects such as real estate matters and corporate governance matters</p></li> <li><p> Providing legal support for corporate sustainability-related initiatives such as carbon credit investing, green bonds, and ESG reporting</p></li> <li><p> Providing legal support to the Mars corporate risk team</p></li> <li><p> Providing overflow support on other areas covered by corporate legal, including global and regional tax restructuring projects and corporate development projects</p></li> </ul> <p></p> <p><b> What can you expect from Mars?</b></p> <ul> <li><p> Work with over 130,000 like-minded and talented Associates, all guided by The Five Principles.</p></li> <li><p> Join a purpose driven company, where we’re striving to build the world we want tomorrow, today.</p></li> <li><p> Best-in-class learning and development support from day one, including access to our in-house Mars University.</p></li> <li><p> An industry competitive salary and benefits package, including company bonus.</p></li> </ul> <p></p> <p> #LI-KR2</p> </div> <p></p></div>
