The Assistant General Counsel – Corporate Innovation, Science and Technology will be responsible for working closely with the Corporate Science and Technology team across the Mars Advanced Research Institute, the Global Food Safety Center, the Science Commercialization team and the external partner network ranging from academia to startups and joint ventures to ensure new technologies and innovations are identified, protected and leveraged across the organization. The Assistant General Counsel – Corporate Innovation, Science &amp; Technology will:</p> <ul> <li><p> Provide strategic legal leadership and advice to Mars Corporate Innovation, Science and Technology organization on value creation opportunities while managing and mitigating risks</p></li> <li><p> Shape and evaluate innovative commercial models for newly created science and technology, and related IP assets (e.g., patents, know-how, trade secrets and copyrights associated with technical aspects of Mars’ business)</p></li> <li><p> Create and implement global IP strategies and maintain IP portfolios</p></li> <li><p> Structure, draft and negotiate various IP related transactions</p></li> </ul> <p></p> <h1 class="jobSectionHeader"><b> What are we looking for?</b></h1> <ul> <li><p> Juris Doctor (J.D.) from an accredited law school, with a minimum of 12 years of experience as a practicing IP attorney with wider legal counsel experience within relevant field/s of science, technology innovation in corporate environment such as food, pharma, or related field</p></li> <li><p> Licensed to practice law in a US jurisdiction. If not a member of the State bar in which the position is located, then the successful attorney must take steps to gain admission by complying with the rules for that state’s in-house corporate counsel</p></li> <li><p> Licensed to practice before the USPTO</p></li> <li><p> Undergraduate degree in Chemistry, Chemical Engineering, Mechanical Engineering, Electrical Engineering, Computer Engineering, Computer Science or equivalent. (some pre-law school technical experience preferred)</p></li> <li><p> Experience with start-ups, universities and research institutes – entrepreneurial mindset</p></li> <li><p> Experience developing and managing complex global IP portfolios</p></li> <li><p> Extensive experience with drafting, negotiating, and executing complex transactions</p></li> <li><p> Pragmatic, practical and collaborative in their approach to advising and delivering legal support</p></li> <li><p> Able to clarify complex concepts and raise critical issues with teams</p></li> <li><p> Able to manage large volume of competing priorities strategically and practically without sacrificing attention to detail</p></li> <li><p> Creative, adaptable and comfortable with ambiguity</p></li> <li><p> Strong interpersonal and follow-up skills and ability to work collaboratively are a must</p></li> <li><p> Flexible to work global hours</p></li> </ul> <p></p> <h1 class="jobSectionHeader"><b> What will be your key responsibilities?</b></h1> <ul> <li><p> Lead the development of intellectual property assets and legal strategies that enable value creation for science and technologies programs reporting into the Chief Science Officer, including Mars Advanced Research Initiative (MARI), Mars Global Food Safety Center (GFSC) and strategic partnerships such as those with the FAO, World Food Program and a range of academic institutions.</p></li> <li><p> Proactively participate in technical reviews and provide legal advice as a key member of project teams</p></li> <li><p> Proactively manage the Corporate Science &amp; Technology (S&amp;T) IP portfolio as a critical enabler of value creation strategies.</p></li> <li><p> Collaborate with Corporate S&amp;T Commercialization team, science leads, corporate strategy and development, and segment legal teams to develop IP strategies at project, platform and portfolio levels, including directing and managing outside counsel to prepare and prosecute patent applications globally</p></li> <li><p> Draft, negotiate and execute various IP related transactions such as early-stage IP and product licensing agreements, university agreements (e.g., university technology transfer agreements, sponsored research agreements), joint development agreements, and collaboration agreements</p></li> <li><p> Collaborate and partner with cross-segment legal counterparts to ensure a consistent and aligned “One Mars” approach on key matters and issues and to optimize the outside counsel network</p></li> <li><p> Conduct cross-functional team training sessions on the protection of innovations through the patent process, best practices for maintaining confidential business information, contractor matters, and the development of intellectual property assets</p></li> <li><p> Supervise outside counsel and develop and manage legal budgets effectively</p></li> </ul> <p></p> <h1 class="jobSectionHeader"><b> What can you expect from Mars?</b></h1> <ul> <li><p> Work with over 130,000 diverse and talented Associates, all guided by the Five Principles.</p></li> <li><p> Join a purpose driven company, where we’re striving to build the world we want tomorrow, today.</p></li> <li><p> Best-in-class learning and development support from day one, including access to our in-house Mars University.</p></li> <li><p> An industry competitive salary and benefits package, including company bonus.</p></li> </ul> <p></p> <p> #LI-KR2</p> </div></div>
