<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-sn7po5 eu4oa1w0"><b>Where you’ll work:</b> <br> Our flexible, hybrid work model offers the option to work remotely or in the office. <br> <br> <b>How you’ll contribute:</b> <br> As Corporate Counsel, Contracts Law, you’ll be responsible for supporting the Company’s Contracts Law team within the Compliance &amp; Contracts Law organization. The Contracts Law team provides legal support to a variety of Brighthouse Financial’s internal stakeholders such as: Procurement and lines of business on projects to source products and services for the enterprise, Privacy Compliance on privacy law matters, Information Technology on cybersecurity matters, Marketing and Operations on intellectual property matters, and Distribution and Compliance on matters related to Brighthouse’s selling relationships with third parties such as broker-dealer firms. The Corporate Counsel will partner with these internal stakeholders and others, as well as third parties, such as vendors, third party administrators and sales channel partners, to ensure our contracts are consistent with Brighthouse Financial’s legal standards. <br> <br> <b>The responsibilities of this position include:</b> (1) providing strategic legal advice and support to various business partners in Compliance and Distribution regarding broker-dealer legal standards and, as needed, working with outside counsel to review standard Distribution processes, documents and agreement templates; (2) negotiating, drafting and advising on updates to new and existing distribution agreements with sales channel partners; (3) negotiating, drafting and advising on various complex vendor agreements with privacy and data security implications; and (4) exercising influence and leadership with business partners and colleagues to help them achieve their business results. The position also brings with it the opportunity to help improve processes to enhance the capabilities of the Contracts Law team on the vendor contracting side. <br> <br> <b>In this role, you’ll get to:</b> <br> Provide guidance to business partners on a variety of broker-dealer legal and compliance issues. <br>Assist in efforts to respond to FINRA and other regulators related to our broker-dealer’s compliance with applicable FINRA rules and relevant state regulations. <br>Review and update marketing allowance letters, product prospectuses, distribution agreements and sponsorship agreements to support our sales team. <br>Negotiate, coordinate, and draft a large volume of vendor agreements, statements of work, and change orders involving a variety of products and services. <br>Assist in developing and updating contract templates for vendors and distribution partners to mitigate risk for the Company and streamline negotiations. <br>Balance legal and business risks. <br>Build key relationships with distribution and marketing partners. <br> <br> <b>We’re looking for people who have:</b> <br> Juris doctor degree from an accredited law school. <br>Bar admission required. <br>5-7 years of relevant experience at a major law firm and/or in-house legal department, with a record of accomplishment in the areas of broker-dealer and/or other financial services law. <br>Extensive knowledge of broker dealer and distribution functions and regulatory requirements. <br>Advanced knowledge of regulatory requirements related to financial services and the insurance and securities industry. <br>General vendor contracting background including experience with cloud platform agreements (XaaS), professional services agreements, sponsorship agreements, advertising/marketing agreements. <br>Good business acumen and familiarity with the market and regulatory landscape vendor contracting. <br>Influence and leadership skills, especially in the context of the ability to relate to different stakeholders, business partners and colleagues. <br>Strong drafting, negotiating and analytical skills. <br>Crisp, clear client communication skills; in particular, the ability to reduce legal issues to straightforward practical analysis and advice. <br>Ability to handle complex transactions from start to finish with moderate supervision. <br>Ability to balance competing demands while assessing business priorities. <br>Follow-through to ensure advice is acted upon, and that ethical, legal, and business issues are raised to appropriate levels. <br>Ability to build collaborative partnerships and alliances, internally and externally. <br>Willingness to take on challenging assignments and become familiar with new areas of the law. <br>Willingness to receive coaching and mentoring from management and/or more experienced team members. <br>Willingness to build knowledge of the Company’s structure, operations, products and services, strategic business values, objectives, policies, culture, and regulatory requirements. <br>Management experience managing a small legal team is a plus. <br> <br> Research shows some people may not apply for a role if they don’t check all the boxes of a job description.
