The role has a primary focus supporting Nuton, a Rio Tinto venture, as well as other research and development efforts of the Copper Technical team but will also provide support on an as-needed basis for other US business units and legal department initiatives.</p> <p> We are looking for a <b>Senior Corporate Counsel</b> to support commercial transactions and acquisition activity, including private placements, joint ventures, and other investment vehicles. The role will also involve management of Rio Tinto intellectual property and close support for the business in the deployment and licensing of technology. Additional areas requiring coverage include environmental compliance and permitting, communities, land use and regulatory issues, and compliance. The role will support and implement the policies and practices of the Rio Tinto Group with respect to the environment, safety, cultural awareness, business integrity and other matters of corporate significance.</p> <p> The incumbent will work in a team environment with the other members of Rio Tinto Legal who are based in Salt Lake City and Phoenix, Arizona. Travel will be required in the United States and potentially internationally.</p> <p> Reporting to the Chief Counsel, US and working in a challenging and exciting environment, within the legal department, you will be:</p> <ul> <li> Providing advice and assistance in managing legal matters/risks facing Rio Tinto and its businesses</li> <li> Providing advice and assistance in managing legal matters/risks facing Nuton and other research and development, including providing the legal parameters for strategic business objectives (i.e. new projects, acquisitions/divestments, changing government regulation)</li> <li> Providing timely, accurate, independent, and commercially focussed legal advice with a view to avoiding potential problem areas and resolving issues as advantageously as possible to Rio Tinto</li> <li> Managing internal legal resources to provide legal support to Rio Tinto and external legal resources and consultants, as needed</li> <li> Maintaining awareness of all material internal developments which are likely to lead to a need for legal advice</li> <li> Assisting Rio Tinto with the development and maintenance of external stakeholder relationships</li> <li> Drafting and negotiating legal documents</li> <li> Monitoring the compliance framework that will enable Resolution and Rio Tinto to meet statutory and corporate requirements by:</li> <li> assisting the capture of statutory and corporate compliance requirements,</li> <li> raising awareness for employees through training,</li> <li> advising on new compliance issues</li> <li> investigations</li> </ul> <p><b> What you’ll bring</b></p> <ul> <li> A commitment to the safety of yourself and your team</li> <li> 8-12 years’ experience, with at least two years in an in-house/corporate legal department role.</li> <li> Significant experience in mergers and acquisitions</li> <li> Significant experience with managing an intellectual property portfolio or advising businesses regarding the management of intellectual property</li> <li> Prior experience with environmental law and land use law (highly desirable)</li> <li> Industry/sector experience (highly desirable)</li> <li> Safety and health experience (highly desirable)</li> <li> Strong cross-cultural awareness and ability to quickly adapt to situations with a flexible style for your audience amidst uncertainty and competing interests</li> <li> Commercial and ethical judgement combined with the willingness and confidence to exercise it</li> <li> Ability to work seamlessly across organisational and geographic boundaries in pursuit of broader corporate goals.</li> <li> History of building strong and enduring internal and external relationships while working collaboratively at all levels across the business</li> <li> Care, courage and curiosity in everything you do</li> <li> A willingness to travel as needed to support on-going matters</li> </ul> <p><b> What we offer </b></p> <p>We are committed to providing our employees with a generous benefits package.
