As a workplace, we’re committed to creating an environment for you to thrive both personally and professionally.</p> <p></p> <p><b> The Team</b></p> The Grants and Contracts Services (GCS) team is part of the operations division and empowers the foundation to maximize its impact by navigating grants and contracts (investments) with clarity and confidence. Through a combination of expertise, technology, and continuous improvement, GCS guides the foundation teams from investment concept to closure and beyond. GCS is flexible and agile in our support structure to manage workload variability and apply a right-sized approach to investment making and management. <p></p> <p><b> Summary</b></p> <p> Provide guidance and support on contracts requested by program and operations teams, perform due diligence to assess transaction structure and legal risk, and assist with compliance related to contracts. Review, draft, negotiate and advise on a wide variety of program and operations contracts with large commercial vendors (e.g., professional services agreements, basic software and other licensing agreements, staffing agreements, commercial leases, regional office operations agreements) and other extensively negotiated agreements, including agreements on vendor paper.</p> <p></p> <p><b><i> **Applications accepted until Noon PST on Tuesday, April 18, 2023.</i></b></p> <p></p> <p><b> Your Role</b></p> <ul> <li><p> Review, draft and negotiate commercial contracts.</p></li> <li><p> Provide legal guidance and oversight to GCS and other foundation teams with respect to contract structures and terms, ensuring consistency and appropriate escalation; serve as subject matter authority on core contract terms including the rationale for the foundation’s position (e.g., limitation of liability, indemnification, jurisdiction, venue) and collaborate closely with Legal team subject matter authorities and decision makers on other subjects (e.g., tax, global access and intellectual property, employment, data privacy, advocacy).</p></li> <li><p> Serve as key contact and advisor for service contracts and nondisclosure agreements from the foundation’s program teams (with a likely emphasis on Global Health), operational teams, and international offices as assigned. Understand the foundation’s grantmaking process and requirements in order to advise on related service contracts.</p></li> <li><p> Participate actively in commercial contracts working group to establish substantive and procedural norms for maintaining consistent, cross-foundation legal positions with respect to core contract terms.</p></li> <li><p> Provide input into and demonstrate initiative in development of, and improvements to, contract templates and playbooks; support the continuous improvement of contract-related legal and operational processes and tools; support team-wide training initiatives with respect to contracts and the contracts process.</p></li> </ul> <p></p> <p><b> Your Experience</b></p> <ul> <li><p> Strong knowledge of, and experience with, commercial contract terms and conditions, with a particular emphasis on appropriate allocation of risk.</p></li> <li><p> Excellent problem solving and negotiation skills.</p></li> <li><p> Sound legal and organizational judgment in leading a broad portfolio of transactions and working with peers and internal clients across a matrixed environment.</p></li> <li><p> Collaborate effectively with other business partners, subject matter authorities, and clients to provide support as well as to implement standard processes.</p></li> <li><p> Handle multiple priorities and demands successfully in a fast-paced environment.</p></li> <li><p> Exceptional communication skills leading to high quality interactions and clear and consistent communications with vendors and other partners in the field.</p></li> <li><p> Ability to work on a large volume of agreements simultaneously and efficiently.</p></li> </ul> <p></p> <p><b> Education and Experience</b></p> <p> JD and bar membership are required preferably in Washington, with 5+ years of experience.</p> <p></p> <ul> <li><b><i>Applicants for this role will only be considered if they are able to legally work in the country where this position is located without visa sponsorship.</i></b></li> </ul> <p></p> <p><b><i> **Applications accepted until Noon PST on Tuesday, April 18, 2023.</i></b></p> <p></p> <p> The typical salary range for this role is $115,360 to $214,240 USD.
