That, and we really like to laugh. </div> <div></div> <div> We are looking for an experienced Senior Corporate Counsel to act as the Legal Business Partner (LBP) for a recent acquisition, in addition to supporting other product related work as appropriate. The acquired company's SAAS offering allows general contractors, subcontractors, and trades in the construction Industry to digitize and automate the payment documentation process allowing for increased speed and efficiency. The acquired company operates in three geos (Australia/New Zealand; the US, and the UK/Ireland). Although the acquired company does not directly engage in the transfer of funds as payment, it partners with various companies that do process these transactions, so familiarity with financial, payment, lending, and/or banking practices and regulations would be helpful. </div> <div></div> <div> If selected for this position, you will be helping newly acquired company to continue its operations while simultaneously engaging with the Autodesk Integration Management Office (IMO) to plan and execute upon the company's integration with Autodesk. As such, you will be responsible for guiding the business team through the complexities associated with integration and with collaborating across multiple business teams and legal functions to help deliver reasonable, timely solutions. Integration is currently estimated to be completed in twelve to twenty-four months, after which you may be asked to support other product teams as needed. You will need to be curious and proactive, and have a good sense of humor, to thrive in this role. </div> <div></div> <div> You will be reporting to our Director, Senior Corporate Counsel, and this position is hybrid and based in our San Francisco office. </div> <div></div> <div> Responsibilities </div> <ul> <li> <div> Help the acquired company to continue running its business as we prepare for integration over multiple teams and systems </div></li> <li> <div> Support the acquired company's team members, including product managers, software engineers, marketing professionals, and support representatives, with their legal questions and concerns </div></li> <li> <div> Draft, review, and negotiate a variety of agreements, including those relating to SAAS offerings, inbound technology licensing, analytics and other vendor services, open-source projects, IP assignments, and technology partnerships </div></li> <li> <div> Identifying and drive resolution of issues related to intellectual property, privacy, security, data usage, confidentiality, marketing, competition, regionalization, and other legal and regulatory issues </div></li> <li> <div> Learn and advise on the legal implications of new technologies, such as platforms and data, AI and ML, new business models, new strategies, and the ever-changing landscape of cloud services and infrastructure </div></li> </ul> <div></div> <div> Minimum Qualifications </div> <ul> <li> <div> You have a JD degree from ABA accredited university and are a member in good standing of the California Bar </div></li> <li> <div> You have been providing legal support to software and cloud service businesses, either at a law firm or corporate legal department for a minimum of ten (10) years </div></li> <li> <div> You have expertise and interest in SAAS offerings, M&amp;A, intellectual property, privacy, security, data protection, and sophisticated technology transactions </div></li> </ul> <div></div> <div> The Ideal Candidate </div> <ul> <li> <div> You are curious, tech savvy, and pragmatic </div></li> <li> <div> You enjoy negotiation and drafting and making the complex simple </div></li> <li> <div> You are a great communicator, or, if not, you really want to become great </div></li> </ul> <div></div> <div> Click below to learn more about our benefits in the US. </div> <div> <div> https://benefits.autodesk.com/ </div> </div> <div> Are you an existing contractor or consultant with Autodesk? For U.S.-based roles, we expect a starting base salary between $169,200 and $273,680. Offers are based on the candidate’s experience and geographic location, and may exceed this range.
