At Breezeline, you will get the opportunity to manage, influence, play, create, fix, and re-shape the industry. <br> About The Job The Associate Counsel assists the Legal Department with the day-to-day legal operations. Provides merger and acquisitions guidance, government affairs and funding assistance, and reviews, negotiates, and prepares various contracts and documents to assist the company. Position reports to the Deputy General Counsel. Responsibilities: <ul> <li> Provides legal support and guidance to the government affairs and funding teams, including government contracting, grant application and overbuild challenge review and drafting for the Broadband Equity, Access and Deployment (BEAD) Program and other local state and county funding programs. </li> <li> Act as the primary legal point of contact for the commercial enterprise sales department; create, structure, draft, negotiate and review a wide range of commercial telecommunications customer contracts including enterprise and carrier sales agreements, underlying rights and dark fiber arrangements, interconnection agreements and associated vendor and technology contracts with minimal oversight. </li> <li> End-to-end commercial enterprise sales contract workflow management, which includes, initial draft customization, design solution reviews with engineering team, tracking contract status and next steps, and overseeing the contract execution and validation process in the sales department’s document tracking database, Salesforce. </li> <li> Assist internal acquisition teams with potential mergers and acquisitions by performing due diligence, synthesizing and presenting data as needed for applicable M&amp;A targets, and drafting schedules, post-closing integration documents, other transactional documents as needed. </li> <li> Assist with commercial sales-related litigation and pre-litigation matters. </li> <li> Work with the commercial sales department and internal business units at all levels throughout the organization. </li> <li> Ensure contacts comply with applicable laws and internal policies and procedures. </li> <li> Be a trusted business partner, responding in a timely and productive manner to requests from internal sales account executives; employ strong business friendly and risk minimizing negotiation techniques to secure advantageous terms while maintaining positive business relationships. </li> <li> Collaborate with various sales teams and legal colleagues to develop process improvements, templates, and operational policies in support of the commercial sales contract workflow. </li> <li> Other duties as assigned. </li> </ul> Requirements: <ul> <li> BS/BA, Juris Doctor with Bar Admission required </li> <li> 3 to 6 years of relevant experience, including reviewing, negotiating, and redlining commercial transaction contracts at a law firm or in-house legal department. </li> <li> Able to work independently with minimal supervision, with the ability to evaluate, manage and prioritize multiple projects on various subject-matters simultaneously. </li> <li> Experience with a cable and/or telecommunications company preferred. </li> <li> Experience using Salesforce or other end-to-end sales contract lifecycle management software preferred. </li> <li> Strong and effective communication skills. </li> </ul> Available Benefits: <ul> <li> Competitive salary </li> <li> Medical coverage (including prescription and vision plans) </li> <li> Dental coverage </li> <li> Life Insurance (1x salary at no cost to employee) </li> <li> Long and short-term disability insurance (no cost to employee) </li> <li> Voluntary employee, spousal, and child life insurance </li> <li> Company recognized Holidays with additional Floating Holidays </li> <li> Paid Time Off (PTO) programs </li> <li> Comprehensive Flex Work Policy </li> <li> 401(k) plan eligibility (company match 50% up to 5% of eligible contributions) </li> <li> Participation in the Employee Bonus Plan </li> <li> Participation in the Cogeco Stock Purchase Plan </li> <li> Complimentary and discounted broadband services (for those in our service area) </li> <li> Tuition Reimbursement </li> <li> Headspace Membership </li> <li> Opportunities for LinkedIn Learning subscriptions for select colleagues </li> </ul> #LI-Hybrid Location : Quincy, MA Company : Breezeline At Cogeco, we know that different backgrounds, perspectives, and beliefs can bring critical value to our business.
