One of the ways that we provide such support is by augmenting selected practice groups with resource attorneys whose overarching responsibility is to enable our practicing attorneys to be more informed and efficient. These attorneys do not work directly with firm clients and therefore do not bill time. Position responsibilities: Among the tasks for which the Private Companies resource attorney will be responsible are: Templates and Precedent Drafting/Management. Preparing, improving, annotating, and automating template documents. Curating and organizing forms, precedents and other know-how. Education and Training. Working with our legal education team to develop trainings and educational content in the practice group. Process Management. Coordinating with lawyers across practice groups, and other Cooley personnel, to ensure review, updating, and other contributions for practice resources and external publications. Legal Updates. Monitoring legal and regulatory developments relative to the Private Companies, Life Sciences Regulatory and Digital Health practices; preparing summaries and alerts regarding the same; ensuring new legal requirements are reflected in our practice resources. Thought Leadership. Developing content for Cooley publications, teach-ins, and/or other external-facing resources. Assisting with Individual Attorney Requests. Helping field day-to-day requests from attorneys for precedents, templates, and other resources. New Initiatives. Candidate would be involved in various resource, knowledge management and practice innovation and technology projects. Other duties. All other duties as assigned or required Skills and experience: The resource attorney must be a licensed attorney with a minimum of 3-5 years of experience in a US corporate/transactional practice. The ideal candidate would have a well-developed skill set of working with larger, later stage private companies and the main types of transactions and issues in day-to-day private company counseling. Someone with a background or interest in life sciences and/or digital health is preferred. Strong drafting skills are required. Success Factors: A successful resource attorney will possess and demonstrate many, if not all, of the following attributes: Organizational Skills. Candidate will need to handle multiple, ongoing projects, including coordinating with attorneys and other stakeholders on projects requiring many inputs. Associate experience running closings and coordinating diligence/disclosures on transactions should be a transferable skill. Attention to Detail. Detailed drafting and analysis needed for template documents. Creativity and Entrepreneurialism. The candidate will be in a unique position to identify needs and opportunities for the practice group. The ideal candidate will be able to take a leading role in formulating and developing new resources. Self-Starter. The candidate will need to take initiative in advancing resource projects. Flexibility. Since resource initiatives are constantly evolving, candidate will need to be willing and available to work on additional projects and support new initiatives. Team Player. This role will need to work collaboratively and build relationships with practicing attorneys and other professionals, including other resource attorneys, within the firm, and be energized by a fast moving and dynamic environment. The expected annual pay range for this position is $220,000 - $350,000. Please note the final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
