Requires JD, LLM or foreign equivalent and two years of experience as an Associate or related occupation. Must include 2 years of experience in each of the following: Drafting and reviewing ancillary transactional documents, including signing and closing documents for public and private company mergers and acquisitions, legal memoranda and opinion letters; Assisting in signing/closing process for sophisticated public and private company M&A deals; Representing clients in a variety of corporate transactions and negotiating effectively with the counterparty in challenging situations; Advising clients on corporate law issues and assisting with corporate governance and other general corporate matters; Coordinating workstreams and tasks among different groups internally, including tax, employee benefits, real estate, and intellectual property; Reviewing corporate governance documents and commercial contracts, including customer contracts, credit agreements and leases, leading due diligence calls, drafting due diligence memoranda and presentation, and providing clients with periodic diligence updates. In the alternative, the employer will accept an LLM degree or equivalent in a stated field and 2 years of experience. The base salary for associate positions is $225,000 - $435,000/ year, depending upon class year. Must be admitted to practice law in the State of New York.
