<p><b>Job Summary</b></p> <p></p> <p><b> Job Description</b></p> <p><b> What is the opportunity?</b></p> <p></p> <p> As a Senior Counsel, you will be a key member of the Global Procurement Legal Team. You will provide advice and guidance to Royal Bank of Canada and its global subsidiaries with respect to third party transactions, with an emphasis on technology and other intellectual property licensing transactions. You will also provide advice to business and functional partners on contract interpretation, legal risks and mitigation strategies associated with third party transactions.</p> <p></p> <p> Working arrangement: In office a minimum of three days per week.</p> <p></p> <p><b> What will you do? </b></p> <ul> <li>Advise RBC and its subsidiaries with respect to structuring and documenting complex third party transactions involving technology and non-technology products, intellectual property licensing, information systems and services (including software, SaaS and data license agreements, cloud services, professional services, outsourcing arrangements, telecom arrangements, subscription and market data service agreements, etc.);</li> <li> Provide efficient, and timely advice and assistance to business and functional partners involving complex third party transactions and contracts (i.e. structuring; strategy; contract negotiation, drafting and management, contract interpretation, etc.);</li> <li> Advise business and functional units on contract interpretation, legal risks and mitigation strategies associated with third party contracts, and general supplier engagement and relationship issues, among other issues;</li> <li> Partner with RBC’s centers of governance (e.g., Privacy; Intellectual Property; Information Technology Risk; Tax) to develop and update RBC’s requirements for third parties and third party contracts, ensuring such requirements are consistent with applicable laws, regulations and regulatory guidance and aligned with market standards and best practices;</li> <li> Provide legal expertise on transactional law (e.g., privacy, intellectual property, cybersecurity and data protection, consumer protection); stay abreast of applicable third party and transactional laws, regulations and guidance; and provide training to business and functional partners as needed;</li> <li> Perform legal research and draft memoranda of law, as required;</li> <li> Assist in the development and ongoing refinement of RBC’s third party templates; and</li> <li> Perform/assist on special projects as needed.</li> </ul> <p></p> <p><b> What do you need to succeed?</b></p> <p><b> Must-have </b></p> <ul> <li>Law degree (LLB or JD) from a recognized law school; admitted to practice law in the US;</li> <li> 5+ years’ experience in corporate commercial contract drafting and negotiating at a top tier law firm or major corporation;</li> <li> Strong foundational knowledge of substantive third party commercial laws and terms (e.g., confidentiality; indemnities; limitations of liability; intellectual property) and financial services laws as they relate to third parties (e.g., privacy/cybersecurity, anti-money laundering, consumer banking); and</li> <li> Ability to analyze legal risk in context of business realities</li> </ul> <p></p> <p><b> Nice-to-have </b></p> <ul> <li>In-house experience at a large, multi-national bank or diversified financial institution;</li> <li> Strong communication skills (written and verbal) and ability to build relationships across multiple areas of the business;</li> <li> Ability to work with a high degree of autonomy, handle large volumes of work and balance competing demands; and</li> <li> Continuous improvement mindset</li> </ul> <p></p> <p><b> What’s in it for you? </b></p> <p>We thrive on the challenge to be our best, progressively thinking to keep growing, and working together to deliver trusted advice to help our clients thrive and communities prosper.
