Our new Corporate Counsel position will have the opportunity to provide critical support to various business divisions, including Enterprise Holdings’ Supply Chain Management department, responsible for the organization’s global procurement of goods and services. We deliver our legal services through highly matrixed, cross-departmental functional teams focused on particular specialties. The successful candidate will have the opportunity to collaborate with business partners and legal colleagues located in the US and Europe, working on projects globally as part of these cross-departmental functional teams. </div> <div></div> <p><br> Among other things, the Corporate Counsel will serve as trusted legal advisor to Supply Chain on all legal matters and assist in the further globalization of these efforts. The Corporate Counsel will play an integral role providing guidance to Supply Chain on structuring, drafting, reviewing and negotiating a wide array of procurement agreements, including master service agreements, goods purchase agreements, solicitations and other complex legal documents. The Corporate Counsel will also support Supply Chain with a broad range of technology agreements, including cloud services (e.g., software as a service, platform as a service and infrastructure as a service), software license and development, managed services and hardware support &amp; maintenance agreements. In connection with the ongoing implementation of Enterprise Holdings’ procurement system, the successful candidate will also help transform future state contracting efforts by developing and evolving contract templates, clause libraries and related best practices to drive efficiencies across all Enterprise Holdings’ brands. Further, in collaboration with subject matter experts in the Corporate Legal Group, the successful candidate will provide other legal services needed to support the organization’s businesses.</p> <p></p> <p><br> This is a fantastic role for a candidate looking to join a driven and dynamic team and develop their career in an industry-leading in-house legal function. Enterprise Holdings and its affiliates offer extensive car rental, carsharing, truck rental, fleet management, retail car sales, as well as travel management and other transportation services, to make travel easier and more convenient for customers. </div> <div> <br> </div> <div> Privately held by the Taylor family of St. Louis, Enterprise Holdings together with its affiliate Enterprise Fleet Management manages a diverse fleet of 2.1 million vehicles and accounted for nearly $30 billion in revenue in fiscal year 2022 through a network of more than 10,000 fully-staffed neighborhood and airport rental locations in more than 90 countries and territories. </div> <b><br> Responsibilities:</b> <br> <ul> <li> Assume lead role in structuring, drafting, reviewing and negotiating business-critical contracts and ensuring they properly protect the company’s interests and objectives</li> <li> Serve as expert regarding technology agreements and related issues</li> <li> Develop and build out procurement templates and clause libraries to meet evolving business objectives, minimize friction and protect Enterprise Holdings’ interests</li> <li> Collaborate with Supply Chain and other business partners to continually evolve and help drive best practices, strategies, trainings, processes and workflows </li> <li>Clearly communicate or present (in writing or verbally) and advise decision makers on the risks and benefits of negotiating options and contractual provisions</li> <li> Provide timely and accurate interpretations of the various laws and regulations affecting the company’s businesses to senior management and operating personnel, keep them apprised of the types of action that require legal consideration and provide internal guidance regarding potential legal risk</li> <li> Collaborate with cross-functional departments to identify, manage and assist Supply Chain and other business partners with resolving legal issues in a manner consistent with the company’s business philosophy and strategy and in compliance with legal and regulatory requirements</li> <li> Partner with assigned functional areas and operating units to help drive the Company’s business model and execute its strategies</li> <li> Provide ongoing strategic planning, guidance and consultation regarding potential and actual disputes</li> </ul> <div></div> <div> <i><br> Equal Opportunity Employer/Disability/Veterans</i> </div> <b><br> Qualifications:</b> <div> <br> Minimum: </div> <ul> <li> Juris doctorate from an accredited law school </li> <li>Seven (7) or more years of relevant experience in a business law firm or in a corporate law department with a proven record of professional excellence and achievement</li> <li> Significant research and transactional law experience, including drafting and negotiating complex contracts (e.g., master services agreements, goods purchase agreements, solicitations and other complex legal documents)</li> <li> Significant experience with technology agreements and related issues (e.g., cloud services (SaaS, PaaS, IaaS, etc.), software license and development, managed services, hardware support &amp; maintenance and related intellectual property considerations)</li> <li> Broad generalist skill set with the ability to independently research and analyze issues </li> <li>Intermediate level of proficiency with Microsoft Office Products (i.e., Excel, Word, PowerPoint and Outlook)</li> <li> Admission to at least one state Bar in the United States is required, with the ability to qualify with the Missouri state bar</li> <li> Must be authorized to work in the United States and not require work authorization sponsorship by our company for this position now or in the future</li> </ul> <div></div> <div> <br> Competency Based: </div> <ul> <li> High level of professionalism and integrity; strong ethical standards</li> <li> Collaborative skills set and work ethic</li> <li> An understanding and sensitivity to maintaining confidential information</li> <li> Strong time management and organizational skills</li> <li> Comfortable working independently or in a team and agility and judgment to balance multiple requests and competing priorities</li> <li> Outstanding interpersonal skills </li> <li>Superior verbal communication skills</li> <li> Excellent writing &amp; drafting skills</li> <li> High level of attention to detail and process</li> <li> Effective team player</li> </ul> </div></div>
