Responsible for having in-depth understanding of business goals; structuring deals to meet those goals while adhering to Zebra’s company policies; conceiving and drafting contracts reflecting agreed-to deal structures; negotiating those contracts to execution and advising on the enforcement of contract claims for and against Zebra.</p> <b><br> Responsibilities:</b> <p><br> A strong team-player with a proactive approach who can work autonomously. Able to absorb information and develop new legal skills and areas of expertise quickly, in a fast-paced environment. Able to support multiple stakeholders. Demonstrate strong contract negotiation skills. Experience of SaaS, software and general contracting experience. Able to support multiple demanding stakeholders, as follows:</p> <p></p> <ul> <li><br> Has in-depth knowledge of the overall business, with an intimate understanding of the region or business unit, and becomes embedded with key business team as a trusted partner</li> <li> Serves as primary legal representative for a sub-region or business unit as well as supervising other lawyers responsible for other sub-regions or business units, offering proactive solutions and risk mitigation strategies</li> <li> Independently creates and drives legal strategy to complement business objectives for the region or business unit</li> <li> Acts as senior subject matter expert on country-specific legal requirements and provides legal counsel on a wide array of areas including claims and litigation</li> <li> Supports and drafts contracts of varying complexity, including contracts for which there are no existing templates and that require significant creativity for new solutions, XaaS offerings and go to market models as well and bids and tenders;</li> <li> Leads by example and collaborates with legal department and cross-functional teams to drive results</li> <li> Keeps abreast of legislative changes and proactively drives understanding across legal teams</li> <li> Ensures proper due diligence and compliance with corporate policies and applicable laws</li> <li> Counsels on corporate governance and legal entity issues in region and M&amp;A integration work</li> </ul> <p></p> <b><br> Qualifications:</b> <p><br> Min. Requirements:</p> <ul> <li> D. from an accredited law school (or local equivalent) and LLM (Master of Law).</li> <li> During employment, must meet requirements for continuing licensure for law practice.</li> <li> 15+ years of experience, either in-house or with a law firm OR “For SaaS related role, 8+ years SaaS, software and general contracting experience”</li> </ul> <p> Potential to Manage Direct and Indirect Reports.</p> <p></p> <p><br> Key Skills and Competencies:</p> <ul> <li> Excellent contract drafting and negotiating skills with respect to commercial contracts; experience drafting and negotiating a broad range of commercial and IT agreements (including vendor contracts, distribution agreements, software licensing, and professional services agreements).</li> <li> Excellent analytical skills and attention to detail; very strong communication skills (oral and written) and strong interpersonal skills.</li> <li> Familiarity with local laws and managing issues across countries.</li> <li> Coordinating with outside counsel on complex matters</li> <li> Able to work collaboratively within and across departments including escalations to senior leadership.</li> </ul> <p> Zebra is an equal opportunity/affirmative action employer committed to a diverse and inclusive workplace All qualified candidates will receive consideration for employment without regard to race, color, religion, sex, sexual orientation, gender identify, national origin, disability and protected veteran status or any other basis prohibited by law. For example, sales roles have additional opportunity to earn substantial variable compensation tied to quota achievement.
