Job Description Summary: PayPal’s Intellectual Property Legal team is looking
for an experienced and dynamic attorney to support a variety of areas within
the Intellectual Property function. The core of the role will be focused on
the drafting and negotiating of technology transactions agreements and
intellectual property provisions in a wide-variety of agreements (merchant,
partner, sales, vendor, marketing, and M&A) and managing IP-related diligence
and integration in M&A transactions. However, the ideal candidate will also be
able to play a cross-functional role on the Intellectual Property Team
supporting other attorneys on open-source projects, IP strategy and/or IP
disputes. The role can be flexibly located in one of PayPal's offices or
remotely for the right candidate.

* Develop and implement global IP strategy throughout a wide range of agreements, such as, NDAs, partnership, merchant, sales, marketing, joint development, patent license, service, standards organization membership, employment and M&A purchase agreements in partnership with PayPal’s commercial legal teams;
* Conduct comprehensive IP and technology law due diligence assessments on global mergers and acquisitions;
* Engage in a wide variety of licensing matters including drafting and negotiating technology law aspects of agreements with external partners and adversaries;
* Engage in collaborative discussions with internal clients including technologists, and business, legal and sales teams to advise and align on positions concerning a variety of IP issues, such as, confidentiality, technology ownership, inbound and outbound licenses, IP indemnification and limitations of liability;
* Support on a wide-range of other interesting intellectual property matters including but not limited open source projects, patent strategy, and patent litigation.
Skills and Experience:
* 5+ years practicing IP/commercial/M&A law; prior in-house experience preferred but not required;
* Ability to evaluate, prioritize and execute in a fast paced, demanding and rapidly changing work place;
* Ability to collaboratively provide timely advice on general business and technology issues taking into account business goals and IP protection concerns;
* Ability to balance legal risk and business opportunities;
* Excellent interpersonal skills including the ability to foster trust and respect and to create friendly and collaborative relationships with internal clients;
* Exceptional written communication skills, including attention to detail;
* Excellent oral communication skills including the ability to work well within a global team;
* Skilled in varied types of negotiations, such as, with partners and adversaries;
* Knowledge of IP laws generally, and patent laws specifically;
* Familiarity with software and hardware technology, such as, internet and e-commerce;
* Ability to thrive in a fast-paced environment and to tolerate change and ambiguity.
