A strong candidate will have experience in M&amp;A transactions as well as renewable energy transactions (including the acquisition and development of energy projects, power purchase agreements and other complex transactions). <b> Essential Functions</b> <ul> <li>Mergers and acquisitions <ul> <li>Executing M&amp;A processes in coordination with legal department leadership and other teams in the company</li> <li>Advising on the entire life cycle of an M&amp;A process from idea inception to closing</li> <li>Drafting, reviewing and negotiating a variety of M&amp;A agreements, including purchase and sale agreements, joint venture agreements, non-disclosure agreements, and engagement letters</li> </ul></li> <li>Renewable energy transactions <ul> <li>Executing on renewable energy transactions and other energy project transactions in coordination with legal department leadership and other teams in the company</li> <li>Drafting, reviewing and negotiating a variety of renewable energy agreements (including, but not limited to, renewables projects related agreements, power purchase agreements, build transfer agreements, and engineering, procurement and construction contracts)</li> <li>Advising on a wide range of energy project transactions in the electric and natural gas utility space</li> </ul></li> <li>Keeping abreast of legal developments related to M&amp;A and renewable energy transactions, and demonstrating ability to apply new developments to new and ongoing transactions for the company</li> <li>Understanding, analyzing and communicating risk associated with M&amp;A, renewable energy transaction agreements and other complex transactional agreements</li> <li>Demonstrating an ability to collaborate across functional groups in the company outside of the legal department</li> <li>Influencing and providing timely and effective legal and business advice and support at all organizational levels on complex transactions</li> <li>Overseeing, performing and reviewing due diligence</li> </ul> Essential Functions (cont.) <ul> <li>Participating in and leading legal department initiatives</li> <li>Interacting with, and establishing the respect and confidence of, senior business leaders and members of business functions</li> <li>Demonstrating strong leadership ability and conflict resolution skills</li> <li>Keeping the company updated and advised on general legal issues and best practices</li> <li>Developing standardized forms and procedures for assigned area</li> <li>Participating in the definition and development of policies, procedures and programs, and providing continuing counsel and guidance on implications of all legal matters</li> <li>Learning company policies, procedures and safety rules</li> <li>Oversee and manage outside counsel and staff, as required</li> <li>Managing a high volume of matters at any given time, working well under pressure, successfully handling and prioritizing multiple competing assignments, and effectively managing deadlines</li> <li>Managing projects independently</li> <li>Demonstrating ability as a business-oriented problem solver and a flexible team player, with ability to partner across departments in order to provide legal support that will enable teams to do business effectively</li> <li>Analyzing complex matters and proposing creative and practical solutions</li> <li>Demonstrating professionalism, judgment, personal integrity, and confidentiality</li> <li>Demonstrating a commitment to pro bono and community activities strongly preferred</li> <li>Participating in mandatory emergency operations plan procedures</li> </ul> <b>Education Description</b> <ul> <li>Requires an undergraduate degree from an accredited college or university and a J.D.
