<div id="jobDescriptionText" class="jobsearch-JobComponent-description css-16y4thd eu4oa1w0"><div> <div> <p><b>POSITION OVERVIEW</b></p> <p>The Corporate Counsel Executive Director will be responsible for performing legal duties within the Company related to business development, compliance, and legal affairs, involving a high degree of discretion in the interpretation, application, and execution of all Company policies and programs.</p> <p><b> ESSENTIAL DUTIES AND RESPONSIBILITIES</b></p> <p>The following and other duties may be assigned as necessary:</p> <ul> <li>Provide proactive legal and business counsel on a diverse range of matters related to the day-to-day operations of the Company, including advising business leaders regarding legal issues and negotiating with business clients regarding contractual disputes</li> <li>Lead the drafting and assist in the negotiation of all management agreements, license agreements, technical service agreements, supplier agreements, marketing, and other related agreements in connection with Fontainebleau Las Vegas</li> <li>Responsible for ensuring compliance with Nevada Gaming Regulations, licensing, and compliance</li> <li>Perform research and write clear and concise complete legal documents, reports, correspondence, and other communications materials on complex legal issues</li> <li>Spot issues, acknowledge risks, and develop strategies to add value while mitigating risk</li> <li>Provide advice on applicable Company, business, and technology laws</li> <li>Ensure the Company complies with all applicable laws, rules, regulations, and standards</li> <li>Remain up-to-date on legal/regulatory updates, especially in the field of Company, business and technology laws and implement appropriate changes</li> <li>Drive and develop improvements to operational processes and cross-functional work</li> <li>Support team on strategic business transactions</li> <li>Develop strong, trusted advisor relationships with key stakeholders, including People, Finance, and Operations</li> <li>Serves as a trusted colleagues able to support decision making and sustainability of legal policy and regulatory decisions</li> <li>Temporary or permanent duties and responsibilities may be added to or modified as deemed necessary</li> </ul> <p><b> QUALIFICATION REQUIREMENTS</b></p> <p>To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required. Must be at least 21 years of age.</p> <ul> <li>Ten (10) years of legal experience, preferably in resort and casino environment</li> <li>Excellent academic credentials from an U.S. accredited law school</li> <li>Prior successful experience as an associate, counsel, or partner in a transactional practice group of a sophisticated corporate law firm is preferred but not required</li> <li>Prior successful experience as a transactional corporate in-house counsel is preferred but not required</li> <li>Strong communication skills</li> <li>Capability and experience to work independently and with a team</li> <li>Licensed and in good standing in the State of Nevada</li> <li>Ability to provide leadership and direction contributing to the success of the organization through engaging, developing, and mentoring individuals and teams</li> <li>Must be willing and able to work a flexible schedule to include nights, holidays, and weekends</li> <li>Work in a fast-paced, busy, and somewhat stressful environment</li> </ul> <p><b> SUPERVISORY RESPONSIBILITIES</b></p> <p>This position will have supervisory responsibilities.</p> <p><b> DIVERSITY COMMITMENT</b></p> <p>Fontainebleau Las Vegas is committed to ensuring an inclusive space and sense of belonging for our Members. Ability to read and communicate verbally in English. Written communication skills in English may also be required.</p> <p><b> REASONING ABILITY</b></p> <p>Ability to apply commonsense understanding to carry out instructions furnished in written, oral, or diagram form.
