<p><b><br> The Job</b></p>
<p> As the <b>Legal Counsel</b>, you will conduct legal due diligence and provide legal review and advice in the investment due diligence and client investment processes. You will be tasked with reviewing various investment documents focusing on private funds (i.e., hedge funds, private equity, and venture capital funds) and separately managed accounts. You will work closely with the General Counsel/CCO and the Research, Operations, and Clients teams internally, in addition to external investment management firms and their counsel.</p>
<p><b> You'll be responsible for the following:</b></p>
<ul>
<li> Reviewing and negotiating alternative investment terms across all asset classes, with a focus on closed-end funds (e.g., private equity funds, private credit funds, venture capital funds, secondaries funds, co-investment funds); hedge funds; separately managed accounts; and traditional long-only funds</li>
<li> Advising Research and Client teams on commercial and legal terms governing investments</li>
<li> Working closely with Research and Client teams, seeking to improve those terms in favor of the Firm's clients through negotiation</li>
<li> Assessing the suitability of investments from regulatory, tax, and local-law standpoints for the accounts of a broad range of endowment and foundation, private, corporate, and pension clients operating and/or formed in many jurisdictions nationally</li>
<li> Assisting Operations with legal questions that arise in the consummation of investments/preparation of client investment documents</li>
<li> Gaining, recording, and retaining familiarity with the unique characteristics and requirements of many clients</li>
<li> Directing, educating, and instructing the Research, Client, and Operations Teams regarding investment fund documentation and function</li>
<li> Advising on corporate actions (e.g., proposed fund amendments and consents), securities laws, the Advisers Act, corporate matters, and other matters</li>
<li> Drafting and editing side letters</li>
</ul>
<p><b> We're looking for the following:</b></p>
<ul>
<li> At least three years of relevant work experience within the securities environment (hedge funds, private equity, or venture capital) or within a law firm</li>
<li> JD degree from an accredited law school required</li>
<li> Licensed and in good standing to practice law in New Hampshire or willing to become admitted to New Hampshire</li>
<li> Experience with privately offered/alternative investments and related legal documentation, including partnership agreements, investment management agreements, LLC agreements, side letters, subscription agreements, NDAs, offering memoranda</li>
<li> Ability to take direction and work independently</li>
<li> A positive, collegial attitude and a high level of professionalism</li>
