Provide legal advice and representation to U.S. and European private equity, venture capital, and strategic investor clients in the areas of mergers and acquisitions (M&A) and corporate law. Requires Juris Doctor or LL.M. degree, or foreign equivalent and admission to the New York state bar. Requires 4 years of experience as Associate or related job/role/occupation with a law firm focusing on international M&A, private equity, or other corporate transactional matters. Experience must include the following: Advising on complex cross-border M&A transactions for international private equity sponsor clients, including on management incentive programs, share buy-backs, restructurings and general corporate governance matters; Advising on cross-border issues and transactions involving EU- and Nordic-based private equity sponsor clients, both in connection with acquisition and divestment processes and on ongoing corporate matters for their portfolio companies within the financial services, general tech, healthcare, and consumer goods sectors; Providing corporate transactional process management for M&A and private equity transactions; Drafting and negotiating transaction documents, including purchase agreements, disclosure schedules, stockholder agreements, limited partnership agreements, limited liability company agreements and related ancillary documentation; conducting and managing due diligence investigations; supervising junior associates; and coordinating with other specialist teams as well as local counsel in respect of such due diligence investigations and the drafting of legal due diligence reports.
