General Summary As a result of continuous growth, DarrowEverett LLP is looking for a Commercial Real Estate Senior Attorney with immediate availability for our Real Estate Department. The candidate can be based in Nashville, Tenn.; Providence, R.I.; Miami, Fla.; or Charlotte, N.C. Ideal candidate(s) will have a portable book of business with at least $200,000 in collections that they are looking to grow, have a strong acumen for leadership and a desire to be an integral part of a growing office. The candidate must have excellent communication and administrative skills, be highly organized and detail-oriented, be able to multitask without sacrificing efficiency, be responsible, and be able to represent the firm, always, in ways that enhance its reputation. Role & Responsibilities: 8+ years of continuous, specific, and verifiable experience in a large law firm. Negotiate and draft a variety of leases, from both a Landlord’s and Tenant’s perspective: retail, office, ground leases, mixed-use developments, licenses, etc. Negotiate and draft property acquisition and sale documents for commercial real estate transactions: letters of intent, purchase and sales agreements, deeds, authority documents, and the like. Negotiate and draft easements, CCRs, restrictive covenants and other similar-type documents encumbering title. Draft condominium documents. Coordinate and direct the review, management and preparation of commercial leasing and acquisition/sale documentation. Review Purchase and Sale Agreements, due diligence, monitor contingencies, review, and prepare title objections, survey and environmental reviews, closing documents and wire transfers. Conduct closings, including review and advise clients on settlement statements, and complete post-closing documentation and administration. Draft and review complex operating agreements and bylaws, shareholders’ agreements, master service and service level agreements, private placement memorandums, indemnity agreements, and other client contracts. Draft correspondence on behalf of landlords to commercial tenants’ management and counsel relating to claims, defenses, and other disputes arising under lease agreements. Effectively organize and maintain client files. Organize and lead a team of attorneys coordinating the development of transaction documents, diligence and closing for portfolio transactions involving properties in multiple jurisdictions. Monitor and calendar deadlines. Experience negotiating, documenting and closing financing transactions a plus. Qualifications: Bachelor’s degree and J.D. Degree. Strong oral and written communication skills. Knowledge of the laws and rules, as well as state and federal court procedures, forms, deadlines, filing requirements and portals. Ability to organize factual and legal data into clear and logical arguments. Ability to handle sensitive matters on a confidential basis. Licensed to practice law in North Carolina and in good standing. A high degree of initiative, mature judgment, and discretion. Organization and time management skills.
