Description
Draft, review, and revise intellectual property, technology and commercial-related agreements, such as license, development, manufacturing and supply, joint venture, collaboration, and commercialization agreements. Advise clients on intellectual property strategies, risks, and opportunities in various transactions and industries and provide general advice on intellectual property, technology and commercial-related issues. Attend calls and meetings with opposing parties and opposing counsels to negotiate intellectual property, technology and commercial-related agreements. Manage, supervise and mentor mid-level associates and junior associates and supervise other support staff involved in intellectual property, technology and commercial-related transactions. Research and analyze intellectual property-related legal issues. Draft memoranda and other related documents relating to intellectual property due diligence for mergers and acquisitions, financing, and other transactions. Support partners on various intellectual property, technology and commercial-related transactions. Participate in business development and network events to develop and maintain relationships with existing and potential clients, including participating in client presentations and publishing white papers on intellectual property-related legal issues. Participate in Firm committees with partners and other associates for day-to-day operational and other matters. Actively participate in the Firm’s recruiting efforts to expand the Palo Alto office. Requirements: Juris Doctor (J.D.) or Master of Laws (LL.M.) and three (3) years of experience in the position offered or as an Associate Attorney at an international law firm with an annual revenue in excess of $1 billion. All of the required experience must have included experience with: drafting, reviewing, and negotiating intellectual property-related agreements, such as license, assignment, joint venture, collaboration, and development agreements; utilizing knowledge of intellectual property law and practice, including the relevant statutes, regulations, case law, industry standards, and the latest developments, trends and issues relating to patents, trademarks, copyrights, and trade secrets, including how they apply to intellectual property-related transactions; understanding new technological developments (such as cloud computing, machine learning, generative artificial intelligence, block chain, and virtual reality) and related legal regulations and issues; identifying, researching and analyzing complex legal issues relating to intellectual property such as those relating to intellectual property filing, registration, maintenance, ownership, assignment, and transfer; communicating and explaining complex legal issues relating to intellectual property to clients and other non-legal professionals involved in intellectual property-related transactions; and conducting due diligence, research, analysis and evaluation of intellectual property assets (such as patents, trademarks, copyrights and trade secrets) as well as intellectual property-related risks (such as infringement, validity and enforceability) in mergers and acquisitions, financings, and other transactions. Must be admitted to CA bar. This role entails hybrid work, with time split between working in our Palo Alto, CA office and flexibility to telecommute from another U.S. location.
