You will handle internal issues that are critical to the company’s continued success. This is a great opportunity for someone to take on considerable responsibility and use your experience in all aspects of working as in-house counsel for a cutting-edge fintech company. </div> <div></div> <div> <br> #LI-Remote </div> <h3 class="jobSectionHeader"><b> What You'll Do</b></h3> <ul> <li><b> LEGAL LEADERSHIP</b></li> <li> Developing and implementing frameworks for complex issues like cryptocurrency compensation and </li> <li>International operations</li> <li> Investigating R&amp;D IP and legal matters that align with our global, remote, and distributed mission, vision, and roadmap</li> <li> Being on point for the legal aspects of our corporate transactions and M&amp;A activities</li> <li><b> CORPORATE MATTERS</b></li> <li> Working on transactions, including serving as an advisor and coach to business units</li> <li> Corporate structuring including global entity strategy development and implementation</li> <li> Corporate governance review &amp; policy best practices</li> <li><b> EMPLOYMENT MATTERS</b></li> <li> Supporting employment negotiations and answering relevant legal questions</li> <li> Addressing employment matters, including implementing policies and guiding compliance</li> <li><b> STREAMLINING OPERATIONS</b></li> <li> Responsibility as the front-line contact for the business on a day-to-day basis for legal issues and requests</li> <li> Project managing multiple complex cross-functional workstreams</li> <li> Interface with and optimize expert external counsel</li> </ul> <h3 class="jobSectionHeader"><b> What You'll Need</b></h3> <ul> <li> Track record of demonstrating good judgment</li> <li> Creative approach to solving challenging problems</li> <li> Bachelor’s degree in a related field; JD from an accredited U.S. law school</li> <li> Admission to the bar in the state in which you will practice</li> <li> Commitment to abiding by local, state and federal laws, along with commitment to ethical behavior</li> <li> 5 - 10 years of experience at a corporation known for excellent culture and strong ethics</li> <li> Experience working with the Board of Directors and the corporate governance process</li> <li> Proven track record of learning and adapting quickly, thinking rigorously, and working proactively and independently</li> <li> Strong critical thinking, interpersonal, and public speaking skills</li> <li> Desire to create robust, responsive legal processes that balance the need to protect a company with the necessity of moving quickly in a startup</li> <li> Adept at critical thinking &amp; analysis of risk as well as pragmatic approach to mitigation and management of risk</li> <li> You have solid deal experience including fundraising and financing, venture, corporate development, mergers &amp; acquisitions, and deal structuring</li> <li> Keen attention to detail and passion for getting things right</li> <li> Ability to communicate and empathize with business, engineering, and legal colleagues alike</li> <li> Excellent writing skills.</li> </ul> <div></div> <ul> <li><b><br> Bonus Points</b></li> <li> Experience running an IPO process</li> <li> You’re interested in and and comfortable with technology</li> <li> You have in-house experience at a high-growth fintech company</li> <li> You have global tax experience or knowledge.</li> </ul> <div> The starting base pay for this role is between $300,000 and $360,000 USD for all U.S. remote locations. The actual base pay is dependent upon many factors, such as: transferable skillsets, work experience, business needs and market demands.
