Legal Counsel – Tax <br> Hamilton Lane is looking for an attorney with private equity tax experience to join its legal team in its <br> Philadelphia-area headquarters to support its growing business. Specifically, the attorney will work on <br> tax review and perform negotiations for primary investments. <br> ESSENTIAL DUTIES AND RESPONSIBILITIES: <br> <ul> <li> Review, comment, and negotiate tax provisions in underlying fund agreements and side letters.</li> <li> Review and evaluate underlying fund structures and tax diligence materials to determine</li> </ul> appropriate investment vehicle for clients depending on tax sensitivity. <br> <ul> <li> Conduct tax due diligence on proposed investment which includes discussing tax leakage and</li> </ul> investment structure with underlying sponsor and coordinating with relationship managers as <br> needed. <br> <ul> <li> Advise HL team members on tax issues and risks associated with provisions in underlying fund</li> </ul> agreement or side letters and provide clear and practical guidance. <br> <ul> <li> Interface with legal team members, investment professionals, members of other HL business</li> </ul> departments, clients, private equity sponsors and their counsel, and other parties in connection <br> with investments. <br> <ul> <li> Supervise outside tax counsel in reviewing tax provisions.</li> <li> Special projects as assigned.</li> </ul> <br> QUALIFICATIONS; Education and/or Experience: <br> <ul> <li> Juris Doctor required.</li> <li> Masters in taxation or Tax LLM strongly preferred.</li> <li> Minimum of 3 years experience at a law firm or relevant in-house position.</li> <li> Strong understanding of US tax issues. International tax experience is preferred.</li> <li> Experience with private equity investments preferred.</li> <li> Must be self-reliant and able to interface effectively with clients, peers and opposing parties with</li> </ul> minimal oversight. <br> <ul> <li> Possess excellent verbal and written communication skills.</li> <li> Must be flexible and adaptable to changes in timelines and able to manage multiple closings at</li> </ul> once. <br> <ul> <li> Member of the Pennsylvania bar or eligibility for in house corporate counsel license</li> </ul> We offer a competitive salary, annual discretionary bonus and a comprehensive benefits package which includes: Medical, Prescription, Dental, Paid Time Off, 401k plan, Life and Disability Insurances, Tuition Reimbursement, Employee Stock Purchase Program, Health Club Reimbursement and Flexible Spending Accounts.
