JOB SUMMARY Kutak Rock LLP seeks an Associate to provide support to our corporate, securities, and mergers & acquisitions practice in our Denver office. This role provides the opportunity to work on a wide variety of transactions for emerging and established companies, including but not limited to mergers and acquisitions, corporate formation and governance, equity financings and general corporate matters. The successful candidate will join Kutak Rock’s well-established Denver corporate practice, work closely with senior partners and associates, and have the opportunity to assume significant drafting experience, deal responsibility, and client contact. QUALIFICATIONS: Skills and Abilities Strong drafting and negotiating experience Excellent oral and written communication skills Strong strategic and analytical mindset Ability to balance multiple priorities and deliver timely quality work product Self-motivated with a strong work ethic Ability to work in a team environment with the desire and ability to manage some components of transactions or deals independently Commitment to interacting directly with and achieving the goals of firm clients QUALIFICATIONS: Education and Experience Admitted to practice in Colorado with an active bar license in good standing or eligible for admission within one year required 2+ years of experience involving corporate transactions, equity financings, corporate formation, corporate counsel, commercial transactions required. Tax experience or background a plus Additional experience in any of the following areas: securities, mergers & acquisitions, corporate governance, partnerships/LLCs, commercial transactions, succession planning, business planning, SAFEs, start up or emerging company experience preferred Candidates with excellent law school academic credentials preferred Position Information Status: Exempt Salary Range: $165,000-$200,000 base salary per year, commensurate with education and experience Work Arrangement: Hybrid Benefits Medical, Dental, Vision, Life, Dependent Life, Disability, and Accidental Death & Dismemberment insurance.
