Under the direction of the real estate attorneys in ourAtlanta office, the paralegal position will assist attorneys in all aspects ofcommercial real estate transactions, including documentation, due diligence,closing and post-closing activities for real estate acquisitions anddispositions, finance, leasing, development and construction projects. Ourideal candidate will have an interest in broad exposure to commercial realestate matters. Job Description • Takeleadership role in all aspects of transaction management. • Order and/or review title commitments, exception documents and surveys,interfacing directly with the title company and surveyor to resolve any issuesor discrepancies. • Prepare and administer contract critical dates and closing checklists. • Prepare initial draft documents, amendments to agreements or leases andmiscellaneous documents, including estoppel certificates and SNDAs, forattorney review. • Prepare clear and concise correspondence, escrow instructions letters, titleand survey objection letters, open items lists, and other memoranda. • Orderand coordinate delivery of containment letters. • Possessstrong working knowledge of formation and basic governance of entities for usein review and preparation of organizational and authority documents. • Orderand review certified entity documents, such as good standing, qualification andformation certificates. • Prepare and file UCC financing statements, order UCC lien and other searchesand prepare summaries of lien search results, and record documents in variouscounties and states. • Prepare lease, title document and loan abstracts. • Review zoning reports, site plans and similar materials. • Prepareand review closing statements. • Prepare earnest money escrows and coordinate delivery of deposits. • Coordinate and assist with all other aspects of closings. • Attend to all post-closing requirements, including preparation of closingindices, preparation and organization of closing binders, and monitoring of allpost-closing deliveries or requirements. • Mustpossess excellent legal research skills, including knowledge of electronicdatabases. • Other duties as assigned. Educational And Experience Requirements • Bachelor degree, or comparable experience preferred. • Four years of previous experience in commercial real estate transactions/closings, including experience with acquisitions, dispositions, financings, leasing, construction and development.
