Locations: Chicago, Illinois; Houston, Texas We are searching for an experienced Corporate Paralegal to join our team. The paralegal will work independently to assist lawyers and provide support to the lawyers in the Corporate and Securities team and other transactional practice groups as needed. It is essential that this person be a self-starter and able to work well both in a team environment as well as independently. This role is expected to be a substantive contributor to the outcomes described and must ensure that client service and client satisfaction are attained in all areas. A Corporate and Securities Paralegal must display good judgment, and effective interpersonal communications; Confidentiality and discretion are required consistently. JOB FUNCTIONS: Assist attorneys to prepare integral corporate documents/materials. Work with lawyers to prepare all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Assist lawyers with the completion of stock certificates. Complete franchise tax forms for lawyer review. Create and maintain corporate minute books. Work directly with attorneys and clients during closings and corporate transactions. Provide lawyers with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions and initial public offerings. Prepare audit letters for distribution to auditors and clients. Gather litigation and billing information to prepare draft responses to auditors’ requests for information. Assist with SEC Filings. Work directly with lawyers to prepare SEC filings with regard to securities offerings and respond to the requirements of the Securities Acts of 1933 and 1934 filings. Prepare/conduct UCC Filings/Searches. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states. Work with Internal Revenue Service. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies. KNOWLEDGE, SKILLS, AND ABILITIES: Strong research and investigative skills. Proficient with the Microsoft Office Suite (Outlook, Word, Excel, etc.). Strong computer and software skills (LexisNexis, Westlaw, etc.) Excellent organizational skills with strong attention to detail and the ability to prioritize and coordinate work. Excellent verbal and written communication skills. Familiarity with federal, state and local rules/filing procedures preferred. Possess strong interpersonal skills with ability to build strong relationships. Accepts ownership of projects and is successful in driving projects, as well as daily tasks, to a successful conclusion. Ability to adjust and adapt quickly to changing situations. Ability to work with detailed information accurately and efficiently. Able to maintain confidentiality. Ability to interact with people in a manner which shows sensitivity, tact, and professionalism. Exhibits clear and concise telephone and email etiquette. Must be able to work well as part of a team as well as work independently. Is responsive and sensitive to internal and external deadlines. Must quickly grasp the goals, service, culture and strategy of both the office and the firm overall. Must conduct him/herself professionally in appearance and actions; must set a positive example for all personnel. Flexibility for travel and overtime required. EDUCATION AND EXPERIENCE: Four (4) year college degree in any discipline. Minimum of five years’ experience as a Corporate Paralegal; ten or greater years’ experience preferred. Degree or certificate in Paralegal Studies is a plus, but not required.
