<p>The <b>Managing Counsel, Global Compensation &amp; Benefits </b>role operates on a hybrid work schedule (3 days in office, 2 days remote), and can be based out of our NYC or Philadelphia offices. </p> <p><b>Responsibilities: </b></p> <ul> <li><b>Executive Compensation </b>- Provide legal counsel and guidance to senior management regarding the design, drafting, and implementation of Chubb’s executive compensation (including equity) programs, plans, and agreements. Advise on legal compliance, practical impacts and corporate governance related to such plans. Assist with issues regarding Internal Revenue Code Section 409A, healthcare continuation, fringe benefits, agency audits, international tax and global restrictive covenant provisions and enforcement. </li> <li><b>Employee Benefit Plans </b>– Chubb sponsors qualified retirement plans, several nonqualified deferral compensation plans and a wide array of welfare benefit plans. The attorney will ensure compliance with relevant laws and regulations, such as ERISA and tax, the Affordable Care Act, HIPAA, the Mental Health Parity Act and many others. Responsibilities include advising on plan design changes and supporting Human Resources (at all levels) in plan administration. This also involves assisting in Form 5500 and other filings and disclosures, drafting and reviewing plan amendments, Summary Plan Descriptions, reviewing employee communications, negotiating third-party vendor agreements, advising Chubb’s Retirement and Welfare Plan Committees, assisting with error corrections and participant appeals. </li> <li><b>Stock Plan Compliance </b>– Provide guidance and advice on a global equity compensation plan as well as an employee stock purchase plan offered to employees in over fifty countries, including drafting plan documentation, award agreements and assisting with U.S. and non-U.S. tax and securities law questions. Act as a lead of the Chubb Global Stock Plans Working Group. </li> <li><b>Employee Compensation </b>– Advise Chubb’s Global Head of Total Rewards on policies and procedures relating to Chubb’s variable compensation (cash and equity), benefits and other compensation programs. This will include drafting division and business unit level compensation plans and reviewing and advising on offer letters and retention agreements. </li> <li><b>M&amp;A </b>– Advise on mergers, acquisitions and other corporate transactions with respect to all aspects of compensation and benefits. Work closely with Human Resources in pre- and post-close activities, integration activities relevant to benefits programs. The attorney will advise on issues pertaining to sections 280G, 409A, 401(a) and 125 of the Code, among others, in an M&amp;A context. </li> <li><b>Cross-Functional Collaboration </b>– Work effectively with internal stakeholders, including legal, finance, human resources, and senior executives globally, to ensure alignment between compensation and benefits programs and organizational objectives. Manage outside counsel as needed. </li> <li><b>Legislative/Regulatory Reform, News and Updates </b>– Monitor developments, emerging trends and industry best practices in the executive compensation and benefits landscape, including proposed legislation and court decisions, evaluate impact on Chubb’s programs and employees and provide updates and education to internal clients.</li> </ul> <br> <ul> <li>5-10+ years’ experience practicing law in-house or at a law firm, and J.D. from an accredited law school. Should be admitted to the bar of New York, Pennsylvania or the state bar where they currently practice law. </li> <li>Deep knowledge and experience with employment and tax laws relating to executive compensation and benefits. </li> <li>Financial services industry experience preferred but not required. </li> <li>Handle complexity well, experience with cross-border issues. </li> <li>Superior interpersonal and communications skills enabling effective collaboration. </li> <li>Skill to reliably translate complex legal concepts into clear and concise advice. </li> <li>Ability to work proactively and independently, work well in high-pressure situations with tight deadlines, juggle priorities, and manage external counsel. </li> </ul> <p>The base pay range for the role is $236,500 to $295,000. The specific offer will depend on an applicant’s skills and other factors. This role is also eligible to participate in a discretionary annual incentive program, including bonus and equity.
