S</p> <ul> <li>upports projects and teams - Supports or leads projects and teams providing legal support and solutions to the Company's business units or corporate departments. P</li> <li>rovides advice - Provides focused and practical legal advice respecting business operations as well as the impact of current or anticipated laws, rules and regulations. S</li> <li>ubstantiates positions - Researches, develops and coordinates implementation of legal solutions. M</li> <li>itigates risk - Identifies and analyzes existing and emerging legal risks. Develops and implements business-focused strategies to manage risks. C</li> <li>ompliance - Assists the development and implementation of policies, procedures and control mechanisms to promote compliance with applicable laws, rules and regulations. P</li>roactive guidance - Stays abreast of new regulations and emerging legal risks; provides proactive advice and counsel to business units and corporate functions that may be impacted. <li> D</li> </ul> <p></p> <p>emonstrates the development of core legal expertise and support for legal affairs of business units or enterprise-wide functions. D</p> <ul> <li>evelops detailed understanding of the operational model by which the supported business unit or enterprise-wide function operates S</li> <li>upports clients on a proactive and cost-effective basis E</li>ffectively manages outside counsel in an efficient and cost effective manner, as necessary <li> P</li> </ul> <p></p> <p>rimary Business Partner Engagement E</p> <ul> <li>ngages, communicates with and advises business unit vice presidents and corporate vice presidents D</li>evelops detailed understanding of how legal support affects objectives, risks and returns of business clients <li> C</li> </ul> <p></p> <p>orporate Finance, Securities and Corporate Governance Matters R</p> <ul> <li>esponsible for legal aspects relating to the preparation of filings with the SEC, NYSE and other securities agencies, including, 8-Ks, 10-Qs, 10-Ks, proxy statements, annual reports, registration statements and other filings and documents, and responsible for maintaining related corporate compliance programs, including the Company’s Section 16 compliance program. A</li> <li>ssists in the preparation of materials for Board of Directors and Committee meetings and other Board- and Committee- related matters. M</li> <li>aintains an in-depth working knowledge and understanding of laws, information and documents necessary to evaluate compliance and other issues related to corporate finance, securities and corporate governance matters, including ESG matters. D</li> <li>rafts, negotiates and reviews corporate finance, treasury and commercial agreements and assist with closings of commercial and financing transactions, including debt offerings and credit agreements. P</li> <li>rovides legal support to the Company’s Investor Relations team on various shareholder matters. A</li> <li>cquires and maintains knowledge of company systems, tools and processes and procedures relevant to corporate finance, securities, and corporate governance matters.
