One Team. </div> <div></div> <div> <br> AMD together we advance_ </div> Responsibilities: <div> <b> Corporate Counsel, Legal</b> </div> <div></div> <div> <b><br> THE ROLE:</b> </div> <div> AMD is seeking an attorney to join the AMD legal team as Corporate Counsel specializing in M&amp;A transactional work, corporate and securities law to support AMD. </div> <div></div> <div> <b><br> THE PERSON:</b> </div> <div> This position demands excellent business judgment and strategic thinking and the ability to work independently as well as collaboratively in a collegial, demanding environment. </div> <div></div> <div> <b><br> KEY RESPONSIBILITIES:</b> </div> <ul> <li> Must have admission to practice law before a state bar and in good standing.</li> <li> Relevant work experience as an attorney with experience advising public companies regarding SEC and Nasdaq compliance.</li> <li> Manage the preparation and negotiation of a wide array of general corporate agreements.</li> <li> Advise on general corporate law issues, providing day-to-day legal counsel to multiple in-house clients including corporate strategy, corporate finance (accounting, tax, and treasury), investor relations and corporate communications.</li> <li> Assist with a variety of corporate transactions including M&amp;A, corporate finance transactions and investments.</li> <li> Support matters under Securities Exchange Commission (SEC) rules, Nasdaq Stock Market (Nasdaq) rules and other corporate governance rules and regulations.</li> <li> Assist with the review and preparation of SEC filings, including Form 10-Ks, Form 10-Qs, Form 8-Ks and other filings required by the SEC.</li> <li> Assist in developing and maintaining policies and procedures to ensure compliance with SEC regulations, Nasdaq rules and other regulations applicable to public companies.</li> <li> Provide employee training on securities law matters such as Regulation FD and insider trading.</li> <li> Support the Corporate paralegal team with subsidiary management of the company’s foreign subsidiaries.</li> <li> Perform any other special assignments or projects, as needed.</li> </ul> <div> <b> ACADEMIC CREDENTIALS:</b> </div> <div> Juris Doctor professional law degree from an accredited law school </div> <div></div> <div> <b><br> LOCATION:</b> </div> <div> Santa Clara, CA </div> <div></div> <div> <br> #LI-WR1 </div> Qualifications: <div> At AMD, your base pay is one part of your total rewards package. Your base pay will depend on where your skills, qualifications, experience, and location fit into the hiring range for the position. You may be eligible for incentives based upon your role such as either an annual bonus or sales incentive.
