Above all, we seek someone who takes great pride in their work and is inspired and motivated by their role in protecting and enhancing our client’s financial well-being. </div> <div></div> <div> If you are looking for an entrepreneurial environment where you can learn and thrive, Brown Brothers Harriman is the right place for you. </div> <div></div> <div> Join us as a Private Fund Attorney </div> <div></div> <div> Brown Brothers Harriman is currently recruiting a Private Fund Attorney/Counsel to join our Office of General Counsel (“OGC’”), Investment Management and Private Banking legal group. </div> <div></div> <div> The Counsel position requires an experienced daily coverage attorney who will primarily handle all legal matters relating to the various private investment funds/platforms across the Investment Management and Private Banking lines of business. The key responsibilities will include: (1) advising on the structuring, formation, and regulation of various private investment funds, including private equity, private debt and real estate funds, (2) negotiate all related service and provider agreements relating to private investment funds, including trading, placement agent, investment management and sub-advisory agreements; and (3) manage outside fund counsel. </div> <div></div> <div> This counsel must have a deep knowledge of the rules, regulations, regulatory staff positions and best industry practices relating to compliance with the Securities Act of 1933, Investment Company Act of 1940, ERISA, CFTC and other applicable rules and regulations that affect and impact private investment funds. Knowledge and familiarity with registered funds (i.e., US mutual funds, UCITS) is preferred though not required. </div> <div></div> <div> Depending on experience, Counsel will be required to assist in-house lending counsel in their support of BBH’s commercial lending efforts. Counsel is expected to handle complicated legal issues and escalate issues whenever appropriate. Counsel will work closely and coordinate on various matters with colleagues in the Compliance and Risk groups. </div> <div></div> <div> Some of your key responsibilities include: </div> <div></div> <div> Advice and Counsel </div> <ul> <li> Provide legal and regulatory advice pertaining to private fund formation, structuring and governance</li> <li> Draft private fund formation documents, offering documents and related ancillary documents (e.g., certificates of formation, corporate resolutions, transfer and assumption agreements, redemption forms, regulatory filings)</li> <li> Implement updates to existing private fund documentation</li> <li> Review and negotiate agreements impacting the private funds, including investment management agreements, administration services agreement, custody agreement, trade agreements (i.e., ISDA)</li> <li> Advise on application of regulations impacting private funds</li> <li> Advise on broker/dealer matters related to single product sale of private fund interests</li> <li> Manage outside counsel engagements</li> <li> Proactively track relevant legal and regulatory developments</li> <li> Assist with registered fund (US mutual funds; UCITS) matters and governance protocols</li> </ul> <div></div> <div> Research and Review </div> <ul> <li> Conduct legal research</li> <li> Represent BBH on legally oriented trade association committees</li> </ul> <div></div> <div> Qualifications </div> <ul> <li> Must be a graduate from an accredited Law School and 6 to 8 years of experience, at least two of those years being relevant in-house legal experience advising on private fund matters</li> <li> Licensed to practice law / member of the bar in respective jurisdiction (New York or Massachusetts)</li> <li> Strong written and oral communication skills</li> <li> Ability to prioritize, take initiative and bring projects to conclusion</li> <li> Ability to work effectively with various internal and external constituencies</li> <li> Ability to work effectively in a fast-paced environment and manage multiple projects simultaneously</li> <li> Ability to identify and manage legal and reputational risk; demonstrates sound business judgment and legal ethics</li> </ul> <div></div> <div> <div> <div> <div> What We Offer: </div> <ul> <li> A collaborative environment that enables you to step outside your role to add value wherever you can</li> <li> Opportunities to grow your expertise and take on new challenges</li> <li> A culture of inclusion that values each employee’s unique perspective</li> <li> Rewarding work with the flexibility to enjoy personal and family experiences at every career stage</li> </ul> <div></div> <div> Total Rewards: </div> <div></div> <div> BBH’s compensation program includes base salary, discretionary bonuses, and profit-sharing. The anticipated base salary range for this role is $150,000 to $200,000, which is specific to New York and Jersey City and may differ in other locations due to cost of living and labor considerations. Base salaries may vary based on factors such as skill, experience, and qualification for the role.
