From the legal procurement team working with subcontractors and vendor to obtain the supplies needed to run the business, to the software legal team analyzing new product offerings, to the legal presales team negotiating contracts with customers, to the postsales project team to complete our contracts as contracted on time and on budget, our team assist supports and facilitates the innovation and business efforts of Motorola Solutions. <br>Job Description <br>Overview <br> <br> The Commercial Counsel is responsible for the preparation of Request for Proposal responses, the negotiation, interpretation andor administration of contracts, subcontracts and licensing agreements; prepares contracts for review and ensures compliance with company policy as well as applicable lawsregulations. A key responsibility of the position will be to drive and implement robust Risk Management. This role develops negotiation strategies with internal business partners, evaluates risk exposure, and makes recommendations to business partners or legal counsel. The fulltime position may be remote. <br> <br> Job Responsibilities <br> <br> Draft, review, edit, finalize and negotiate routine and sometimes medium complexity transactional agreements to meet business and legal requirements. Agreements include salessupply; end user license agreements, professional services agreements, statements of work SOW, OEM agreements, strategic alliance agreements, maintenance agreements, consulting and advisory agreements, outsourcing and hosted services agreements, software as a service SaaS customer agreements, and other technology related agreements. <br> <br> Manage contract documentationapproval flows to ensure consistency with internal processes. <br> <br> Assist with the development of streamlined, organized and efficient policies and procedures for contracts, including establishing playbooks, and standard template language to be used in contracts. <br> <br> Manage contract disputes, including understanding the issues, providing guidance on solutions, drafting settlement agreements. <br> <br> Advise and coordinate with multiple stakeholders across marketing, product, finance, implementation and sales throughout the presales, sales and postcontract cycle on a broad range of legal and compliance issues for the Motorola Solutions portfolio of products and services. <br> <br> Provide pragmatic counsel and guidance for the accomplishment of overall business objectives of the Company, while fully complying with applicable laws and regulations and avoiding unacceptable risks; perform informed costbenefit analysis when identifying risks under tight deadlines. This includes supporting the business and product development processes by providing key inputs and advice on legal risks and issue, prioritizing risks and ensuring compliance with government and customerimposed requirements. <br> <br> May provide support on noncommercial practice area issues labor and employment, corporate governance, ethics, etc.. <br> <br> Proactively develop and maintain technical knowledge in specialized areas, remaining uptodate on current trends and best practices. <br> <br> Generally, works autonomously and seeks management input in unusual situations, high complexity issues and matters that may post some legal, financial andor reputational risk to the company. <br> <br> Desired SkillsQualifications <br> <br> Moderate experience drafting, reviewing and negotiating commercial and SaaS sales agreements and intermediate proficiency in thirdparty hosted and cloudservices issues, service level agreements, industry trends and best practices. <br> <br> Experience working with legal policies and procedures and demonstrated ability to identify potential legal issues. <br> <br> Experience approaching legal matters with a sense of pragmatism and flexibility to recommend solutions that enable our companys success while protecting its legacy and future. <br> <br> Excellent negotiation, consultation, and analytical skills. <br> <br> Excellent problemsolving skills, sound judgment and decisionmaking skills. <br> <br> Strong interpersonal, presentation and communication skills including written and verbal. <br> <br> Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties with regard to negotiation of agreements and general problem solving. <br> <br> Experience applying knowledge of multidisciplinary business principles and practices to achieve successful outcomes in crossfunctional projects and activities. <br> <br> Strong business acumen, with ability to understand the companys business objectives and anticipate the legal issues that could arise. <br> <br> Well organized, detail oriented and adept in a fastpaced environment <br> <br> Work under pressure, meet tight deadlines, and balance a heavy workload. <br> <br> Required to work with the highest level of ethics and discretion. <br> <br> Lead change and take responsible risks Looks for ways to personally affect change and is not risk averse. <br> <br> Drive results and execution Identifies issues and raises them so that appropriate actions can be taken to resolve problems or improve the client experience; takes personal ownership to follow through on commitments and achieve results with high quality; and demonstrates a strong bias for action and is able to balance priorities to keep plans on track. <br> <br> Think strategically Aligns own work with broader business strategies and goals; stays aware of the business implications of market and industry trends; and recognizes the impact of hishertheir work on overall organizational strategy. <br> <br> Exerts some latitude in determining objectives of new and ongoing assignments; briefs manager on work as appropriate and to escalate. <br> <br> Inhouse legal experience preferred, including supervision of outside counsel. <br> <br> LIRH1 <br> <br> Basic Requirements <br>Requires a Juris Doctor Degree and 543; years of experience in corporate transactional, contracts negotiation andor commercial transaction experience preferably with background in technology matters, government contracts andor intellectual property. <br> <br> Admission to the Bar of at least one state. <br> <br> Vaccine Requirement <br> <br> Motorola Solutions has implemented a voluntary COVID19 vaccination policy.
