<div id="jobDescriptionText" class="jobsearch-jobDescriptionText"><div> <p><b>This position can be an on-site, fully remote, or work from home flexible position.</b></p> <p> The Corporate Counsel will serve as an integral part of a small in-house legal team. The successful candidate will have proven experience negotiating and drafting commercial and transactional agreements, leading multi-function teams on transactions, providing risk-based advice to business clients, preparing and advising on policies that support the organization’s objectives, and managing multiple projects simultaneously in a dynamic environment in collaboration with multi-function teams. The Corporate Counsel will report directly to the Chief Legal Officer.</p> <br> <p></p> <p><b> ESSENTIAL DUTIES AND RESPONSIBILITIES:</b></p> <ul> <li>Develop an in-depth understanding of SSP’s business and its competitive and risk environment, and serve as a trusted partner by providing risk-based legal counsel and guidance</li> <li>Provide support and guidance for corporate transactions and other strategic initiatives, including structuring, drafting, reviewing, and negotiating non-disclosure agreements, letters of intent, vendor and services agreements, procurement contracts, consulting and professional services agreements, joint venture agreements, asset purchase agreements, franchise and brand license agreements and other commercial and transaction-related agreements and documentation</li> <li>Provide sound risk-based legal advice and consultation to facilitate business decisions (terms, conditions, amendments, renewals, and termination of agreements), and support for resolution of disputes</li> <li>Lead and collaborate with other attorneys and cross-functional teams as a project-manager to facilitate the closing of business transactions</li> <li>Draft corporate filings and related minutes, resolutions, waivers, approvals of action and other similar documentation</li> <li>Partner with business clients in evaluating and conducting due diligence on strategic opportunities</li> <li>Collaboratively work with key stakeholders in the areas of Business Development, Operations, Procurement, HR, Information Technology, Marketing, Culinary and Design &amp; Construction</li> <li>Support the licensing team in successfully navigating licensing requirements and application processes</li> <li>Provide status reports on pending legal matters, advice in course of action during contract negotiations, and identify, review and understand internal files and documents related to assigned projects</li> <li>Oversee the execution and retention of legal documents and agreements</li> <li>Conduct due diligence on third parties and legal research to provide guidance on contract compliance and legal/regulatory requirements</li> <li>Ability to manage and coordinate outside counsel in a cost-effective manner, as necessary</li> <li>Assist legal team members with other projects and deliverables, as necessary</li> </ul> <br> <p></p> <p><b>QUALIFICATIONS:</b></p> <p> Must have:</p> <ul> <li>Juris Doctorate degree from an accredited law school (US).</li> <li>Excellent academic credentials, analytical skills and verbal and written communication skills</li> <li>Admittance to the Bar and in good standing in Virginia, or admitted to the Bar and in good standing in another state and eligible for admission through wavier in Virginia.</li> <li>2-5 years of substantial corporate transactional experience in a reputable law firm and/or in-house legal department</li> <li>Experience drafting and negotiating transactional agreements, including ancillary documents and due diligence in connection with acquisitions, licensing agreements, and other commercial agreements</li> <li>The ability to manage smaller transactions, be capable of independent responsibility for major documentation and components of larger transactions</li> </ul> <p>Additional Preferred Qualifications:</p> <ul> <li>Experience working with multi-unit food and beverage concessionaires, brands, and operational teams, or with suppliers, distributors, and service providers within the food, beverage, or hospitality industry</li> <li>Experience advising on international transactional issues and supporting clients outside the United States</li> <li>Experience supporting clients engaged in marketing activities</li> <li>Any additional experience within a broader range of legal disciplines applicable to our business including but not limited to privacy and data protection, and other technology-related laws</li> </ul> <p></p> <p><b>SKILLS, ABILITY &amp; KNOWLEDGE:</b></p> <ul> <li>Ideal candidate will be a practical problem solver with good business judgment to complement legal skills</li> <li>Demonstrated ability to think strategically, to devise practical solutions and to present complex issues to senior executives. Ability to evaluate and reconcile issues from the business-unit and enterprise level perspective</li> <li>Exceptional organizational, prioritization and time management skills with the ability to work under deadlines and execute efficiently against multiple, high-priority and high-volume projects.</li> <li>Strong analytical and strategic skills, including the ability to collaborate and drive issues to resolution that factor in legal and non-legal variables, such as reputational risk, communications, government relations, regulatory relations, tax, insurance, finance and other considerations</li> <li>Must be highly organized, detailed oriented, responsive, and dependable</li> <li>Ability to operate in fast-paced environment with a high level of autonomy</li> <li>Strong interpersonal skills, with the ability to work well in a collaborative team environment and create a positive work environment</li> <li>Drive process improvements, as necessary</li> <li>Develop, create, improve, and draft standard form contracts</li> <li>Exercise a high degree of integrity</li> <li>Train and educate business partners on relevant legal matters</li> <li>Excellent PC skills, including proficiency with Microsoft Office Suite programs</li> </ul> <br> <p></p> <p> #SSP-LEGAL</p> </div> <p></p></div>
