<div id="jobDescriptionText" class="jobsearch-jobDescriptionText jobsearch-JobComponent-description css-10og78z eu4oa1w0"><p></p> <div> <p><b>DIMENSIONS OF ROLE</b></p> <p> The Senior Counsel will collaborate with internal clients by identifying and addressing client needs through building solid relationships; providing legal advice and guidance related to a variety of issues based on legal needs in a clear, practical, and consistent manner; developing an awareness of legal topics; demonstrating flexibility in prioritizing and completing tasks; and communicating potential conflicts and risks.</p> <p><b><br> KEY RESPONSIBILITIES</b></p> <p> Structure, draft, review and negotiate a wide range of commercial agreements including sales, services agreements, SOWs, software license agreements, SaaS agreements, amendments, and NDAs, with clients, prospective clients, vendors, partners and other third parties, including with domestic, international and affiliated companies.</p> <p> Provide competent legal advice regarding regulatory insurance compliance advising on matters related to consumer protection, market conduct compliance, licensing, permitted compensation, insurance product compliance and other issue related to compliance obligations of 50 state licensed producers and third-party administrators. Knowledge of reinsurance contracts is a plus.Perform legal research and advise on new or emerging laws affecting travel, health and international assistance business lines. <br> <br> Support the development of policies, guidelines and other documentation as necessary to manage legal risks and ensure regulatory compliance.</p> <p> Foster collaborative working relationships with and provide dedicated legal support and strategic legal advice to internal stakeholders including Commercial, HR, IT, Operations, Data Privacy and Compliance at all levels of the company.</p> <p> Ensure that internal clients and external parties are in compliance with relevant federal, state and local laws.</p> <p> Assist in the creation of company policies and procedures, as needed to ensure compliance with legal, regulatory and company policy requirements.</p> <p> Find creative solutions to complex legal problems while maintaining the company’s legal and ethical responsibilities</p> <p> Coordinate with relevant departments and outside counsel on certain commercial disputes and employment matters.</p><b><br> Your Profile</b> <p><b><br> EDUCATION, PROFESSIONAL QUALIFICATIONS &amp; EXPERIENCE</b></p> <ul> <li>Juris Doctor from an accredited law school</li> <li>Bar membership in good standing</li> <li>Minimum of 7 years of experience, preferably with at least 3 years in an in-house role.</li> <li>Knowledge of insurance regulations and laws is highly preferred.</li> </ul> <p></p> <p><b> TECHNICAL | FUNCTIONAL KNOWLEDGE | SKILLS &amp; ABILITIES</b></p> <div> <ul> <li><br> Ability to draft, negotiate and finalize complex agreements.</li> <li>Experience in a financial service or in the insurance sector with experience in advising regulated businesses.</li> <li>Experience managing corporate, commercial, and regulatory legal matters.</li> <li>Ability to tailor advice that’s well-calibrated to the most junior and senior levels of the organization.</li> <li>Interpret laws and regulations and their impacts on the business.</li> <li>Must be a self-starter, highly motivated with a strong work ethic and able to function independently.</li> </ul> </div> <p></p> <div> <b><i> What We Offer</i></b> </div> <div> <i> At AXA Partners US, we’re appreciative of the people who work for us, and our rewards package is reviewed regularly to reflect that.
