Description
King & Spalding’s New York and/or Charlotte offices seek a midlevel associate whose practice focuses on representing lenders in debt financing transactions secured by commercial real estate. Candidates must have excellent academic credentials from a top-tier law school and superior drafting and communication skills. Four to six years of prior experience representing lenders (including financial institutions, alternative capital providers and life companies) in all types of commercial real estate finance transactions is required, including with respect to the financing of: (1) both stabilized assets and construction projects (including those involving mezzanine financing or preferred equity investments); (2) multi-property, multi-state loan portfolios; and (3) all asset classes, including industrial, multifamily, office, retail, hotel and mixed use projects. The candidate should have extensive experience (a) drafting and negotiating loan agreements and other ancillary loan documents, estoppels, subordination, non-disturbance and attornment agreements, hotel comfort letters and contractor consents, (b) managing the deal closing process to completion, (c) supervising junior associates and paralegals in the review of title insurance commitments and property surveys (including addressing reciprocal easement agreements and master declarations with appropriate estoppel confirmations), and (d) analyzing property-level due diligence, such as purchase and sale agreements, leases, zoning reports, franchise agreements and construction contracts.
