Leech Tishman is seeking to hire a mid-level Corporate Associate with 3-5 years of solid corporate law experience to work in our Pittsburgh office. The position requires significant client contact and the ability to excel when working independently. Superior client communication, writing, research, computer, and organizational skills are a must. Experience with general corporate matters, corporate governance, drafting securities offerings documents (public and/or private), venture capital and private equity transactions, commercial lending transactions, commercial contracts, and complex M&A transactions preferred. Tax and deal structuring a plus. Description: Responsibilities include but are not limited to: Conducting legal research and analysis related to corporate transactions Conducting due diligence Drafting and negotiating transaction documents and legal opinions including shareholder agreements, stock purchase agreements, and merger agreements Entity formation Advising clients on corporate governance and corporate disclosure matters Coordinating document execution Ensuring compliance with applicable laws and regulations Candidate Qualifications 3-5 years in corporate law Juris Doctorate degree Must be licensed in Pennsylvania Proficient in Microsoft Office Suite, especially Microsoft Word Legal research and technical writing skills, including proficiency with legal research tools including WestLaw Strong academic and employment credentials Excellent writing, research, negotiation, and communication skills Good interpersonal interaction skills Well-organized Proven track record of performance This position is full-time.
