Requires 2 years of experience as an Associate, or related job/role/occupation focusing on corporate transactions, debt finance, or structured finance and securitizations matters. Experience must include: Representing and advising financial institutions and corporate clients in complex corporate transactions involving debt finance, structured finance, securitizations, and project finance; Advising on debt finance, structured finance, securitizations, and project finance transactions including whole-business and digital infrastructure securitizations, receivables financings, repurchase transactions, collateralized loan obligations, floorplan facilities, term loans, revolving credit facilities, and warehouse financings; Drafting and coordinating execution of transaction documents, including: credit agreements, indentures/notes and disclosure documents, repurchase agreements, trust agreements, guarantees, management/backup management and servicing agreements, legal opinions, entity formation, security agreements and security interest filings; Supporting legal advice to financial institutions and corporate clients on term loan obligations, exit financing, creditor negotiations, and debt finance transactions; Developing and implementing loan workouts and restructuring plans; and Performing due diligence reviews.
