Description
Associate (Senior) with Kirkland & Ellis LLP (New York, NY). Represent and advise clients in structured finance and structured private credit and other transactional legal matters and draft transaction documents. Requires Juris Doctor degree, or LL.M. or foreign equivalent. Requires admission to the New York state bar. Requires 2 years of experience as an Associate, or related job/role/occupation focusing on corporate transactions, debt finance, or structured finance and securitizations matters. Experience must include: Representing and advising financial institutions and corporate clients in complex corporate transactions involving debt finance, structured finance, securitizations, and project finance; Advising on debt finance, structured finance, securitizations, and project finance transactions including whole-business and digital infrastructure securitizations, receivables financings, repurchase transactions, collateralized loan obligations, floorplan facilities, term loans, revolving credit facilities, and warehouse financings; Drafting and coordinating execution of transaction documents, including: credit agreements, indentures/notes and disclosure documents, repurchase agreements, trust agreements, guarantees, management/backup management and servicing agreements, legal opinions, entity formation, security agreements and security interest filings; Supporting legal advice to financial institutions and corporate clients on term loan obligations, exit financing, creditor negotiations, and debt finance transactions; Developing and implementing loan workouts and restructuring plans; and Performing due diligence reviews.
