<div id="jobDescriptionText" class="jobsearch-jobDescriptionText" dir="ltr"><div> Job Description <p><br> We’re looking for a <b>Senior Counsel, Global Channels and Professional Services</b>, to join Procore’s fast-growing Legal, Regulatory &amp; Compliance (LRC) Department. In this role, you’ll help stand up a global channel program, guide complex transactions with channel partners through review, negotiation, and execution, support a professional services program, and provide broad commercial support and training to the sales teams in Procore’s Channels and Professional Services organizations. To succeed in this role, you'll need to show up as a leader, collaborator, project manager, and self-starter able to drive multiple initiatives simultaneously.</p> <p> As <b>Senior Counsel, Global Channels and Professional Services</b>, you’ll partner with cross-functional teams, including Sales, Finance, Security, Privacy, Product, Engineering, and Marketing, to ensure we provide exceptional go-to-market (GTM) support and accelerate deal velocity in a rapidly evolving, fast-paced environment. You will also serve as a legal subject matter expert for Procore’s channel program and professional services offerings. Your passion for technology and deep knowledge of channel and professional services in a global commercial SaaS environment allows you to provide practical and solutions-oriented advice to your business partners, effectively calculate potential risks, manage workloads, and prioritize multiple business partner demands. This role is an exciting new position that will play an important role in Procore’s next phase of growth and international expansion.</p> <p> This position will report to our VP &amp; Associate General Counsel, Go-to-Market. This role can be remote or based in one of Procore’s U.S.-based office locations. We’re looking for someone to join us immediately.</p> <p><b> What you’ll do</b>:</p> <ul> <li> Provide direct support to the Global Channel and Global Professional Services organizations and leadership in building compliant channel and services programs, policies, and practices, in enabling their teams, and in standing up a global channel ecosystem</li> <li> Structure, draft, review, and negotiate complex commercial and SaaS sales agreements, including professional services agreements, subcontractor agreements, channel agreements (e.g., reseller, referral, aggregator, distributor agreements, strategic alliance, systems integrator), statements of work, subscription service agreements, teaming agreements, solution partner agreements, data processing agreements, and other commercial agreements</li> <li> Provide practical commercial guidance and compliance advice to global sales executives and internal stakeholders on a variety of channel and services-related legal issues, balancing business objectives with legal risks, including identifying, managing, and communicating risks and opportunities in GTM models and revenue transactions and analyzing and interpreting complex business partnership structures, and legal contractual provisions</li> <li> Use your considerable experience to help shape business and legal terms and deal structures, to ensure that channel programs and contract terms are compliant with applicable law, aligned to company policies, and appropriately manage risk, and to help improve internal SOPs, achieve better outcomes and enhance transaction velocity</li> <li> Develop, maintain, and continuously refine templates, playbooks, fallback guides, guidelines, research files, FAQs, policies, processes, procedures, and other tools essential to the efficient, scalable, and effective functioning of the Legal GTM function</li> <li> Efficiently manage and partner with outside counsel to augment the Legal GTM team, as needed</li> <li> Be accountable to the Legal GTM function’s SLAs and other KPIs to ensure the function’s continuous high performance</li> <li> Deliver training and education to the Professional Services and Channels organizations on processes, agreements, forms, provisions, negotiation best practices, antitrust and global competition law issues in pricing and channel motions, and other relevant legal and sales enablement issues, as applicable</li> <li> Stay informed and advise on the impacts of relevant new and proposed regulations, antitrust and global competition law developments, SaaS, cloud computing, commercial law, industry trends, and best practices applicable to your areas of responsibility in the markets in which we operate</li> </ul> <p><b> What we’re looking for</b>:</p> <ul> <li> Must be admitted, active, and in good standing with the state bar in which the position is located, or with another state bar and registered, or eligible to register, as in-house counsel with the state bar in which the position is located</li> <li> 7+ years of relevant experience in a high-growth SaaS environment supporting a channel organization</li> <li> Extensive experience drafting, reviewing, and negotiating complex commercial and SaaS global channel partner agreements (including on partner paper), and a deep understanding of the related channel and service partner sales and delivery motions, preferably with a company of significant size and scale</li> <li> Deep understanding of SaaS business models, channels and professional services motions, global antitrust and competition law, commercial negotiation best practices, and familiarity with revenue recognition and related SaaS accounting standards, processes, systems, issues, and terminology</li> <li> Demonstrated track record of motivating and influencing both internal and external stakeholders and success in executing in a fast-paced, rapidly growing global sales environment</li> <li> Comfortable negotiating data privacy agreements, including a working knowledge of GDPR and CCPA/CPRA as they relate to commercial contracts</li> <li> High EQ, impeccable professional ethics, integrity, judgment, and demonstrated ability to handle highly confidential information</li> <li> Able to operate autonomously while being a team player who brings a positive “can do” attitude to the workplace working collaboratively with other members of the LRC Department and with internal business partners</li> <li> Proficiency in Spanish is a bonus, but not required</li> </ul> </div> <br> <div> Additional Information <p><br> Base Pay Range $176,400-$242,550. Eligible for Bonus Incentive Compensation. Eligible for Equity Compensation.
