We're a collegial group in which every role matters, and you'll have an impact on high stakes decisions, working with technical and development teams solving some of the hardest engineering challenges of our generation!</p> <p><b> This role is open to remote candidates residing in any US state.</b></p> <h2 class="jobSectionHeader"><b> What you'll be doing:</b></h2> <br> <p></p> <ul> <li><p>Collaborate with legal colleagues and cross-functional business teams across Cruise's entire organization to strategize, draft and negotiate a wide variety of commercial, technology and intercompany agreements in support of both day-to-day business and strategic commercial transactions.</p> </li> <li><p>Identify, interpret, explain, and advise on non-standard terms and associated risks, contract requirements, obligations, and risk exposure to relevant business stakeholders.</p> </li> <li><p>Improve and create contract templates and negotiation playbooks to support continued commercial scaling.</p> </li> <li><p>Serve as trusted legal advisor on significant business transactions including mergers, acquisitions, divestitures and joint ventures.</p> </li> <li><p>As business priorities arise and change, prioritize, manage, and complete a wide variety of legal work.</p> </li> <li><p>Since Cruise is a majority owned subsidiary of General Motors, working cross-functionally to ensure that necessary approvals are obtained in accordance with Cruise's corporate governance system</p> </li> <li><p>Location: Remote or Bay Area</p></li> </ul> <br> <p> </p> <p><b>What you must have:</b></p> <br> <p></p> <ul> <li><p>Senior-level attorney with 7+ years transactional experience drafting, negotiating, and advising on transactional matters.</p> </li> <li><p>Deep experience with commercial contracting and providing legal counsel in all aspects of the commercial transaction process including reviewing, drafting, counseling on, and negotiating a variety of commercial agreements (NDAs, master services agreements, SaaS agreements, software licensing agreements) to support Cruise's supply chain and commercial operations.</p> </li> <li><p>Proven ability to collaborate on multiple complex cross-functional projects.</p> </li> <li><p>Proven ability to manage and prioritize multiple projects with short deadlines simultaneously.</p> </li> <li><p>Highly responsive and service oriented with excellent legal and business judgment.</p> </li> <li><p>Law degree from an accredited law school.</p> </li> <li><p>Member of a State bar.</p></li> </ul> <br> <p> </p> <p><b>Bonus points:</b></p> <ul> <li><p>Experience with hardware development, intellectual property, and technology transactions.</p> </li> <li><p>Experience negotiating M&amp;A deals, complex strategic transactions, and/or partnerships.</p> </li> <li><p>Direct or indirect supervisory experience of attorneys and/or paralegals.</p> </li> <li><p>Experience at a well-regarded law firm.</p> </li> <li><p>In-house legal experience in a high-growth technology company.</p></li> </ul> <br> <p> </p> <p><i>The salary range for this position is </i><i>$171,000 - $251,600</i><i>. Compensation will vary depending on location, job-related knowledge, skills, and experience. You may also be offered a bonus, restricted stock units, and benefits.
